Common use of Non-Consenting Lenders Clause in Contracts

Non-Consenting Lenders. If any Lender (a “Non-Consenting Lender”) does not consent to a proposed amendment, waiver, consent or release with respect to any Loan Document that requires the consent of each Lender or each Lender directly affected thereby and that has been approved by the Requisite Lenders, the Borrower may replace such Non-Consenting Lender in accordance with Section 5.6; provided that such amendment, waiver, consent or release can be effected as a result of the assignment contemplated by such Section (together with all other such assignments required by the Borrower to be made pursuant to this subsection (c)).

Non-Consenting Lenders. If in connection with any Lender proposed waiver, amendment or modification referred to in any of the clauses (a) through (f) of Section 11.1.1 [Required Consents], the consent of the Required Lenders is obtained but the consent of one or more other Lenders whose consent is required is not obtained (each a “Non-Consenting Lender”) does not consent to a proposed amendment), waiver, consent or release with respect to any Loan Document that requires the consent of each Lender or each Lender directly affected thereby and that has been approved by the Requisite Lenders, then the Borrower may shall have the right to replace any such Non-Consenting Lender in accordance with Section 5.6; provided that such amendment, waiver, consent one or release can be effected as a result of the assignment contemplated by such Section (together with all other such assignments required by the Borrower to be made more replacement Lenders pursuant to this subsection (c))Section 5.6.2 [Replacement of a Lender].
