Non-Compliance with Loan Documents. (a) (a) Failure by Borrower or any other Loan Party to comply with or to perform any covenant set forth in Sections 6.1.1, 6.1.2, 6.1.3, 6.1.4, 6.1.5(a), 6.1.7, 6.3(b) and (c), 6.5, 6.7, and 7; or (b) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) and continuance of such failure described in this clause (b) for 30 days.

Non-Compliance with Loan Documents. (a) (a) Failure by Borrower or any other Loan Party to comply with or to perform any covenant set forth in Sections 6.1.1, 6.1.2, 6.1.3, 6.1.4, 6.1.5(a), 6.1.76.1.6, 6.3(b) and (c), 6.5, 6.7, 6.8 and 7; (b) default by the Asset Purchaser in any material respect of any of its obligations under the Asset Purchase Documents or (bc) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) and continuance of such failure described in this clause (bc) for 30 days.

Non-Compliance with Loan Documents. (a) (a) Failure by Borrower or any other Loan Party to comply with or to perform any covenant set forth in Sections 6.1.1, 6.1.2, 6.1.3, 6.1.4, 6.1.5(a)6.1.6, 6.1.7, 6.1.9, 6.3(b) and (c6.3(c), 6.5, 6.7, 6.8, 6.9 and Section 7; or (b) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) and continuance of such failure described in this clause (b) for 30 days.

(a) (a) Failure by Borrower or any other Loan Party to comply with or to perform any covenant set forth in Sections 6.1.110.1.1, 6.1.210.1.2, 6.1.310.1.3, 6.1.410.1.4, 6.1.5(a10.1.5, 10.2, 10.3(b), 6.1.710.5, 6.3(b) and (c)10.6, 6.510.8, 6.710.10, and 7; 10.11, 10.12, or 10.13, or Section 11, or (b) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) 13) and continuance of such failure described in this clause (b) for 30 daysor more days after the earlier of (i) the date any Loan Party knows or reasonably should have known of such failure or (ii) the date of receipt by Borrower Representative (or any Borrower) of notice from the Required Lenders of such failure.

(a) (a) Failure by Borrower or any other Loan Party to comply with or to perform any covenant set forth in Sections 6.1.110.1.1, 6.1.210.1.2, 6.1.310.1.3, 6.1.410.1.5, 6.1.5(a10.1.6, 10.3(b) (solely as such section relates to the maintenance of insurance at all times), 6.1.7, 6.3(b) and (c), 6.5, 6.7, and 710.5 or 10.10 or Section 11; or (b) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) 13) and continuance of such failure described in this clause (b) for 30 days.

Non-Compliance with Loan Documents. (a) (a) Failure by Borrower or any other Loan Party to comply with or to perform any covenant set forth in Sections 6.1.110.1.5, 6.1.2, 6.1.3, 6.1.4, 6.1.5(a), 6.1.7, 6.3(b) and (c), 6.5, 6.7, and 710.3 or 10.5 or Section 11; or (b) failure by Borrower any Loan Party to comply with or perform any other covenant set forth in Sections 10.1.1, 10.1.2 and 10.1.3 and continuance of such failure described in this clause (b) for fifteen (15) days or (c) failure by any Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) 13) and continuance of such failure described in this clause (bc) for 30 thirty (30) days.

Non-Compliance with Loan Documents. (a) (a) Failure by Borrower or any other Loan Party to comply with or to perform any covenant set forth in Sections 6.1.1, 6.1.2, 6.1.3, 6.1.4, 6.1.5(a6.3.2(a), 6.1.7, 6.3(b) and (c6.3.2(b), 6.56.3.2(c), 6.710.1, and 710.2, 10.3, 10.4 10.5, 10.6, 10.10, 10.12, or Section 11; or (b) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) 13 for which no other grace period is specified) and continuance of such failure described in this clause (b) for 30 consecutive days.

Non-Compliance with Loan Documents. (a) (a) Failure by Borrower or any other Loan Party to comply with or to perform any covenant set forth in Sections 6.1.1, 6.1.2, 6.1.3, 6.1.4, 6.1.5(a)6.1.6, 6.1.7, 6.1.8, 6.2, 6.3(b) and (c), 6.3(c), 6.4(d), 6.5, 6.7, 6.9, 6.10, 6.11 and 7Section 7 applicable to it; or (b) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) and continuance of such failure described in this clause (b) for 30 days.

Non-Compliance with Loan Documents. (a) (a) Failure by any Borrower or any other Loan Party to comply with or to perform any covenant set forth in Sections 6.1.1, 6.1.2, 6.1.3, 6.1.4, 6.1.5(a6.l.5(a), 6.1.76.1.6, 6.1.8, 6.3(b) and (c), 6.5, 6.7, 6.8 and 7; or (b) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) and continuance of such failure described in this clause (b) for 30 daysdays following the earlier of (a) any Loan Party receiving written notice thereof or (b) any Loan Party acquiring actual knowledge thereof.

Non-Compliance with Loan Documents. (a) (a) Failure by Borrower or any other Loan Party to comply with or to perform any covenant set forth in Sections 6.1.110.1.1, 6.1.210.1.2, 6.1.310.1.3, 6.1.410.1.5, 6.1.5(a10.1.6, 10.3(b) (solely as such section relates to the maintenance of insurance at all times), 6.1.710.5, 6.3(b) and (c)10.10, 6.5, 6.7, and 710.11 or Section 11; or (b) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) 13) and continuance of such failure described in this clause (b) for 30 days.

(a) (a) Failure by Borrower or any other Loan Party to comply with or to perform any covenant set forth in Sections 6.1.1, 6.1.2, 6.1.3, 6.1.4, 6.1.5(a), 6.1.7, 6.3(b) and (c), 6.5, 6.7, and 7; or (b) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) and continuance of such failure described in this clause (b) for 30 days.

(a) (a) Failure by Borrower or any other Loan Party to comply with or to perform any covenant set forth in Sections 6.1.110.1.5, 6.1.210.3(b) or 10.5 or Section 11 and, 6.1.3in the case of any such failure capable of cure, 6.1.4, 6.1.5(a), 6.1.7, 6.3(bthe continuance of such failure described in this clause (a) and (c), 6.5, 6.7, and 7for 10 days; or (b) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) 13) and continuance of such failure described in this clause (b) for 30 days.

Non-Compliance with Loan Documents. (a) (a) Failure by Borrower or any other Loan Party to comply with or to perform any covenant set forth in Sections 6.1.1, 6.1.2, 6.1.3, 6.1.4, 6.1.5(a)6.1.9, 6.1.6, 6.1.7, 6.3(b) and (c6.3(c), 6.5, 6.7, 6.7 and Section 7; or (b) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) and continuance of such failure described in this clause (b) for 30 days.

Non-Compliance with Loan Documents. (a) (a) Failure by Borrower or any other Loan Party to comply with or to perform any covenant set forth in Sections 6.1.110.1.1, 6.1.210.1.2, 6.1.310.1.3, 6.1.410.1.5, 6.1.5(a10.2, 10.3(b), 6.1.710.5, 6.3(b) and (c)10.6, 6.510.10, 6.710.11, and 7; 10.12, 10.13, 10.16, 10.17, 10.18, 10.19, or Section 11, or (b) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) 13) and continuance of such failure described in this clause (b) for 30 daysor more days after the earlier of (i) the date any Loan Party knows or reasonably should have known of such failure or (ii) the date of receipt by Borrower Representative (or any Borrower) of notice from Administrative Agent or Required Lenders of such failure.

Non-Compliance with Loan Documents. (a) (a) Failure by Borrower or any other Loan Party Holdings to comply with or to perform any covenant set forth in Sections 6.1.1, 6.1.2, 6.1.3, 6.1.4, 6.1.5(a), 6.1.76.1.6, 6.3(b) and (c), 6.5, 6.7, 6.9 and 7; or (b) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) and continuance of such failure described in this clause (b) for 30 days.

Non-Compliance with Loan Documents. (a) (a) Failure by Borrower or any other Loan Party to comply with or to perform any covenant set forth in Sections 6.1.1, 6.1.2, 6.1.3, 6.1.4, 6.1.5(a), 6.1.76.1.6, 6.1.8, 6.3(b) and (c), 6.5, 6.7, 6.8(b), and 7; or (b) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) and continuance of such failure described in this clause (b) for 30 days.

(a) (a) Failure by Borrower or any other Loan Party to comply with or to perform any covenant set forth in Sections 6.1.1, 6.1.2, 6.1.3, 6.1.4, 6.1.5(a10.1(a), 6.1.7, 6.3(b) and (c10.1(b), 6.510.1(c), 6.710.1(d), and 710.1(e)(i), 10.1(f), 10.1(g), 10.3(ii), 10.5, 10.6, 10.11 or Section 11; or (b) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) 13) and continuance of such failure described in this clause (b) for 30 days.

Non-Compliance with Loan Documents. (a) (a) Failure by Borrower or any other Loan Party Co-Borrower to comply with or to perform any covenant set forth in Sections 6.1.1, 6.1.2, 6.1.3, 6.1.4, 6.1.5(a)6.1.6, 6.1.76.1.8, 6.1.10, 6.2, 6.3(b) and (c6.3(c), 6.4(d), 6.5, 6.7, 6.9, 6.10, 6.11 and Section 7; or (b) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) and continuance of such failure described in this clause (b) for 30 days.

Non-Compliance with Loan Documents. (a) (a) Failure by any Borrower or any other Loan Party to comply with or to perform any covenant set forth in Sections 6.1.1, 6.1.2, 6.1.3, 6.1.4, 6.1.5(a), 6.1.6, 6.1.7, 6.1.8, 6.3(b) ), (c), and (cd), 6.5, 6.7, 6.9, 6.13 and 7; or (b) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) and continuance of such failure described in this clause (b) for 30 15 days.

Non-Compliance with Loan Documents. (a) (a) Failure by Borrower or any other Loan Party to comply with or to perform any covenant set forth in Sections 6.1.1, 6.1.2, 6.1.3, 6.1.4, 6.1.5(a6.1.6, 6.1.8, 6.1.10, 6.2, 6.3(b), 6.1.76.3(c), 6.3(b) and (c6.4(d), 6.5, 6.7. 6.10, 6.11 and Section 7; or (b) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document (other than the Maintenance Agreement) applicable to it (and not constituting an Event of Default under any other provision of this Section 8) and continuance of such failure described in this clause (b) for 30 days.

Non-Compliance with Loan Documents. (a) (ai) Failure by Borrower or any other Loan Party to comply with or to perform any covenant set forth in Sections 6.1.1, 6.1.2, 6.1.3, 6.1.4, 6.1.5(a10.1(a), 6.1.7, 6.3(b) and (c10.1(b), 6.510.1(c), 6.710.1(d), and 7; 10.1(e)(i), 10.1(f), 10.1(h), 10.3(b), 10.5, 10.6 or Section 11 or (bii) failure by Borrower or any other Loan Party to comply with or to perform any other provision of this Agreement or any other Loan Document applicable to it (and not constituting an Event of Default under any other provision of this Section 8) 13) and continuance of such failure described in this clause (bii) for 30 thirty (30) days.
