Common use of Non-Competition Agreements Clause in Contracts

Non-Competition Agreements. Neither the Company nor any Company Subsidiary is a party to any agreement which purports to restrict or prohibit in any material respect the Company or the Company Subsidiaries collectively from, directly or indirectly, engaging in any business currently engaged in by the Company or any Company Subsidiary. None of the Company's officers, directors or key employees is a party to any agreement which, by virtue of such person's relationship with the Company, restricts in any material respect the Company or any Company Subsidiary from, directly or indirectly, engaging in any of such businesses.

Neither the Company nor any subsidiary of the Company Subsidiary is a party or is otherwise subject to any agreement which (a) purports to restrict or prohibit in any material respect the Company any of them or the Company Subsidiaries collectively any corporation affiliated with any of them from, directly or indirectly, engaging in any business involving the manufacture, marketing, distribution or sale of farm machinery or construction or any other material business currently engaged in by the Company or any Company Subsidiary. None of the Company's officersits affiliates or (b) would restrict or prohibit, directors or key employees is a party to any agreement which, by virtue of such person's relationship with the Company, restricts in any material respect respect, the Company or any subsidiary of the Company Subsidiary from, directly or indirectly, from engaging in any of such businessesbusiness.
