Non-Assignment; Collateral Clause Samples

Non-Assignment; Collateral. You agree not to pledge or otherwise assign your interest in Your Shares to or for the benefit of any third party. You hereby grant us a security interest in Your Shares, any earnings thereon, and any other amount held in the FAM Account, as security for payment of any obligation arising under these Sweep Terms, as a result of any overdraft on your FAM Account, under any loan made by us to you, or under any other obligation which you may have to us. We will have all of the rights and remedies of a secured party under the UCC with respect to this collateral, and you authorize us to execute in your name and to file on your behalf any financing statement which we deem advisable to file in order to protect our interest under the UCC. You also authorize us to certify checks drawn on the FAM Account which are in excess of the current amount in the FAM Account, you agree to reimburse us for any such excess and you authorize us to redeem Your Shares and to deposit the proceeds thereof to the FAM Account to the extent necessary to cover such excess.
