Common use of No Violation or Breach Clause in Contracts

No Violation or Breach. Neither the execution and delivery of this Agreement nor the consummation of the transactions and performance of the terms and conditions hereof by Buyer will (i) result in a violation or breach of any provision of the certificate of incorporation, bylaws or other similar governing documents of Buyer or any material agreement, indenture or other instrument under which Buyer is bound or (ii) violate any Law applicable to Buyer or the assets of Buyer.

No Violation or Breach. Neither the execution and delivery of this Agreement or the Closing Documents nor the consummation of the transactions and performance of the terms and conditions hereof or thereof by Buyer will (ia) result in a violation or breach of any provision of the certificate of incorporation, bylaws or other similar governing documents of Buyer or any material agreement, indenture or other instrument under which Buyer is bound or (iib) violate any applicable Law applicable to Buyer other than such violations as would not, individually or in the assets of Buyeraggregate, have a Material Adverse Effect.

Neither the execution and delivery of this Agreement Agreement, nor the Assignment of Interests, nor the consummation of the transactions and performance of the terms and conditions hereof or thereof by Buyer Purchaser will (with or without notice or lapse of time) (i) result in a material violation or material breach of any provision of the certificate Organizational Documents of incorporation, bylaws or other similar governing documents of Buyer or any material agreement, indenture or other instrument under which Buyer is bound Purchaser or (ii) violate in any material respect any Applicable Law binding on or applicable to Buyer or the assets of BuyerPurchaser.
