Common use of No Violation of Laws or Agreements Clause in Contracts

No Violation of Laws or Agreements. The execution, delivery and performance of the Loan Documents (a) will not violate or contravene any material provision of any material law, rule, regulation, administrative order or judicial decree (federal, state or local), and (b) will not violate or contravene any provision of the Organic Documents of any Borrower, and (c) will not result in any material breach or violation of (or constitute a material default under) any material agreement or instrument by which any Borrower or any of its property may be bound, and (d) will not result in or require the creation of any Lien (other than pursuant to the Loan Documents) upon or with respect to any properties of any Borrower, whether such properties are now owned or hereafter acquired.

No Violation of Laws or Agreements. The execution, delivery and performance by Borrower of the Loan Documents (a1) will not violate or contravene any material provision of any material law, rule, regulation, administrative order or judicial decree (federal, state or local), and (b2) will not violate or contravene any provision of the Organic Organizational Documents of Borrower or any Borrowerof its Subsidiaries, and (c3) will not result in any material breach or violation of (or constitute a material default under) any material agreement or instrument by which any Borrower or any of its Subsidiaries or any of their respective assets or property may be bound, and (d4) will not result in or require the creation of any Lien (other than pursuant to the Loan Documents) upon or with respect to any assets or properties of Borrower or any Borrowerof its Subsidiaries, whether such assets or properties are now owned or hereafter acquired.

The execution, delivery and performance of the Loan Documents (a) will not violate or contravene any material provision of any material law, rule, regulation, administrative order or judicial decree (federal, state or local), and (b) will not violate or contravene any provision of the Organic Documents of any the Parent or the Borrower, and (c) will not result in any material breach or violation of (or constitute a material default under) any material agreement or instrument by which any Borrower the Parent, the Operating Sub or EXCX or any of its property may be bound, and (d) will not result in or require the creation of any Lien (other than pursuant to the Loan Documents) upon or with respect to any properties of any the Parent or the Borrower, whether such properties are now owned or hereafter acquired.
