Common use of No Violation of Law; Compliance with Agreements Clause in Contracts

No Violation of Law; Compliance with Agreements. (a) The Company is not in violation of and has not been given notice or been charged with any violation of, any law, statute, order, rule, regulation, ordinance or judgment (including, without limitation, any applicable Environmental Law) of any governmental or regulatory body or authority. To the best of Compost's and the Company's knowledge, no investigation or review by any governmental or regulatory body or authority is pending or threatened with regard to the Company or the transactions contemplated by this Agreement, nor has any governmental or regulatory body or authority indicated an intention to conduct the same. The Company has all permits (including without limitation Environmental Permits), licenses, franchises, variances, exemptions, orders and other governmental authorizations, consents and approvals required or necessary to conduct its business as presently conducted (collectively, the "Company Permits"). The Company is not in violation of the terms of any of the Company Permits.
