No Triggering of Obligations. The consummation of the transactions contemplated hereby will not: (i) entitle any current or former employee, director or independent contractor to severance pay, unemployment compensation or any other payment, except as expressly provided in this Agreement; (ii) accelerate the time of payment or vesting or increase the amount of compensation due to any current or former employee, director or independent contractor; or (iii) result in any prohibited transaction described in Section 406 of ERISA or Section 4975 of the Code for which an exemption is not available.
