Common use of No Termination or Abatement Clause in Contracts

No Termination or Abatement. Lessee shall remain obligated under this Lease in accordance with its terms and shall not take any action to terminate, rescind or avoid this Lease, notwithstanding any action for bankruptcy, insolvency, reorganization, liquidation, dissolution, or other proceeding affecting any Person or any Governmental Authority, or any action with respect to this Lease or any Operative Agreement which may be taken by any trustee, receiver or liquidator of any Person or any Governmental Authority or by any court with respect to any Person, or any Governmental Authority. Lessee hereby waives all right (a) to terminate or surrender this Lease (except as permitted under the terms of the Operative Agreements) or (b) to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Rent. Lessee shall remain obligated under this Lease in accordance with its terms and Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Lease. Notwithstanding any such statute or otherwise, Lessee shall be bound by all of the terms and conditions contained in this Lease.

No Termination or Abatement. Lessee hereby waives all right (a) to terminate or surrender this Lease (except as permitted under the terms of the Operative Agreements) or (b) to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Rent. Lessee shall remain obligated under this Lease in accordance with its terms and Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Lease. Notwithstanding any such statute or otherwise, Lessee shall be bound by all of the terms and conditions contained in this Lease.

Notwithstanding anything contained in this Article IX, this Lease may be terminated by Lessor pursuant to, inter alia, Sections 19.1 and 20.2 hereof.

Notwithstanding any such statute or otherwise, to the extent permitted by law, Lessee shall be bound by all of the terms and conditions contained in this Lease.

The Lessee shall remain obligated under this Master Lease in accordance with its terms and shall not take any action to terminate, rescind or avoid this LeaseMaster Lease (except as provided herein), notwithstanding any action for bankruptcy, insolvency, reorganization, liquidation, dissolution, or other proceeding affecting any Person or any Governmental AuthorityParticipant, or any action with respect to this Master Lease or any Operative Agreement which may be taken by any trustee, receiver or liquidator of any Person or any Governmental Authority Participant or by any court with respect to any Person, or any Governmental AuthorityParticipant. The Lessee hereby waives waives, to the extent permitted by law, all right (ai) to terminate or surrender this Master Lease (except as permitted under the terms of the Operative Agreementsprovided herein) or (bii) to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Rent. The Lessee shall remain obligated under this Master Lease in accordance with its terms and the Lessee hereby waives waives, to the extent permitted by law, any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Master Lease. Notwithstanding any such statute or otherwise, the Lessee shall be bound by all of the terms and conditions contained in this LeaseMaster Lease and the Lease Supplement.

Lessee shall remain obligated under this Lease in accordance with its terms and Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Lease. Notwithstanding any such statute or otherwise, Lessee shall be bound by all of the terms and conditions contained in this LeaseLease and any Lease Supplements.

The Lessee hereby waives all right (ai) to terminate or surrender this Master Lease (except as permitted under the terms of the Operative Agreementsprovided herein) or (bii) to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Rent. The Lessee shall remain obligated under this Master Lease in accordance with its terms and the Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Master Lease. Notwithstanding any such statute or otherwise, Lessee shall be bound by all of the terms and conditions contained in this Lease.

Each applicable Lessee shall remain obligated under this Lease in accordance with its terms and shall not take any action to terminate, rescind or avoid this Lease, notwithstanding any action for bankruptcy, insolvency, reorganization, liquidation, dissolution, or other proceeding affecting any Person or any Governmental Authority, or any action with respect to this Lease or any Operative Agreement which may be taken by any trustee, receiver or liquidator of any Person or any Governmental Authority or by any court with respect to any Person, or any Governmental Authority. Each Lessee hereby waives all right (a) to terminate or surrender this Lease (except as permitted under the terms of the Operative Agreements) or (b) to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Rent. The Lessee hereby waives waives, to the extent permitted by law, all right (ai) to terminate or surrender this Master Lease (except as permitted under the terms of the Operative Agreementsprovided herein) or (bii) to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Rent. The Lessee shall remain obligated under this Master Lease in accordance with its terms and the Lessee hereby waives waives, to the extent permitted by law, any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Master Lease. Notwithstanding any such statute or otherwise, the Lessee shall be bound by all of the terms and conditions contained in this LeaseMaster Lease and the Lease Supplements.

Lessee hereby waives all right (ai) to terminate or surrender this Lease (except as permitted under the terms of the Operative Agreementsprovided herein) or (bii) to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Rent. Lessee shall remain obligated under this Lease in accordance with its terms terms, and Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Lease. Notwithstanding any such statute or otherwise, Lessee shall be bound by all of the terms and conditions contained in this Lease.

No Termination or Abatement. Each Lessee shall remain obligated under this Master Lease in accordance with its terms and shall not take any action to terminate, rescind or avoid this LeaseMaster Lease (except as provided herein), notwithstanding any action for bankruptcy, insolvency, reorganization, liquidation, dissolution, or other proceeding affecting any Person the Lessor or any Governmental AuthorityParticipant, or any action with respect to this Master Lease or any Operative Agreement which may be taken by any trustee, receiver or liquidator of any Person the Lessor or any Governmental Authority Participant or by any court with respect to any Person, the Lessor or any Governmental AuthorityParticipant. Each Lessee hereby waives all right (ai) to terminate or surrender this Master Lease (except as permitted under the terms of the Operative Agreementsprovided herein) or (bii) to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim (other than compulsory counterclaims) or defense with respect to any Rent. Each Lessee shall remain obligated under this Master Lease in accordance with its terms and such Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Master Lease. Notwithstanding any such statute or otherwise, each Lessee shall be bound by all of the terms and conditions contained in this Master Lease.

No Termination or Abatement. Lessee shall remain obligated under this Lease in accordance with its terms and shall not take any action to terminate, rescind or avoid this Lease, Lease notwithstanding any action for bankruptcy, insolvency, reorganization, liquidation, dissolution, or other proceeding affecting any Person or any Governmental AuthorityLessor, or any action with respect to this Lease or any Operative Agreement which may be taken by any trustee, receiver or liquidator of any Person or any Governmental Authority Lessor or by any court with respect to any Person, or any Governmental AuthorityLessor. Lessee hereby waives all right (ai) to terminate or surrender this Lease (Lease, except as permitted under the terms of the Operative Agreements) otherwise set forth in Article XXIII, or (bii) to avail itself of any abatement, suspension, deferment, reduction, setoffset off, counterclaim or defense with respect to any RentRent (except as expressly herein permitted, including the terms of Article XXIII). Lessee shall remain obligated under this Lease in accordance with its terms and Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Lease. Notwithstanding any such statute or otherwise, Lessee shall be bound by all of the terms and conditions contained in this Lease.

No Termination or Abatement. Lessee shall remain obligated under this Lease in accordance with its terms and shall not take any action to terminate, rescind or avoid this Lease, notwithstanding any action for bankruptcy, insolvency, reorganization, liquidation, dissolution, or other proceeding affecting any Person or any Governmental Authority, or any action with respect to this Lease or any Operative Agreement which may be taken by any trustee, receiver or liquidator of any Person or any Governmental Authority or by any court with respect to any Person, or any Governmental Authority. Lessee hereby waives all right (a) to terminate or surrender this Lease (except as expressly permitted under the terms of the Operative Agreements) or (b) to avail itself of any abatement, suspension, deferment, reduction, setoffset-off, counterclaim or defense with respect to any Rent. Lessee shall remain obligated under this Lease in accordance with its terms and Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Lease. Notwithstanding any such statute or otherwise, Lessee shall be bound by all of the terms and conditions contained in this Lease.

The Lessee hereby waives all right (ai) to terminate or surrender this Lease (except as permitted under the terms of the Operative Agreementsprovided herein) or (bii) to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense (other than the defense of payment) with respect to any Rent. The Lessee shall remain obligated under this Lease in accordance with its terms and the Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Lease. Lessee shall remain obligated under this Lease in accordance with its terms and Lessee hereby waives waives, to the fullest extent permitted by applicable law, any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Lease. Notwithstanding any such statute or otherwise, Lessee Lessee, to the fullest extent permitted by applicable law, shall be bound by all of the terms and conditions contained in this Lease.

No Termination or Abatement. Lessee shall remain obligated under this Lease in accordance with its terms and shall not take any action to terminate, rescind or avoid this Lease, notwithstanding any action for bankruptcy, insolvency, reorganization, liquidation, dissolution, or other proceeding affecting any Person or any Governmental Authority, or any action with respect to this Lease or any Operative Agreement which may be taken by any trustee, receiver or liquidator of any Person or any Governmental Authority or by any court with respect to any Person, or any Governmental Authority. Lessee hereby waives all right (a) to terminate or surrender this Lease (except as permitted under the terms of the Operative Agreements) or (b) to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Rent. Lessee shall remain obligated under this Lease in accordance with its terms and Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Lease. Notwithstanding any such statute or otherwise, Lessee shall be bound by all of the terms and conditions contained in this Lease. Lessee's agreements in this paragraph shall not affect any claim, action or right Lessee may have against the Lessor, the Agent or any Primary Financing Party that may be brought by separate proceeding.

No Termination or Abatement. Lessee shall remain obligated under this Lease in accordance with its terms and shall not take any action to terminate, rescind or avoid this Lease, notwithstanding any action for bankruptcy, insolvency, reorganization, liquidation, dissolution, or other proceeding affecting any Person or any Governmental AuthorityLessor, or any action with respect to this Lease or any Operative Agreement which may be taken by any trustee, receiver or liquidator of any Person or any Governmental Authority Lessor or by any court with respect to any PersonLessor, or any Governmental Authorityexcept as otherwise expressly provided herein. Lessee hereby waives waives, to the extent permitted by Legal Requirements, all right (ai) to terminate or surrender this Lease (Lease, except as permitted under the terms of the Operative Agreements) otherwise expressly provided herein, or (bii) to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Rent. Lessee shall remain obligated under this Lease in accordance with its terms and Lessee hereby waives waives, to the extent permitted by Legal Requirements, any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Lease. Notwithstanding any such statute or otherwise, Lessee shall be bound by all of the terms and conditions contained in this Lease.

No Termination or Abatement. Lessee shall remain obligated under this Lease in accordance with its terms and and, to the extent permitted by applicable law, agrees that it shall not take any action to terminate, rescind or avoid this Lease, notwithstanding any action for bankruptcy, insolvency, reorganization, liquidation, dissolution, or other proceeding affecting any Person or any Governmental Authority, or any action with respect to this Lease or any Operative Agreement which may be taken by any trustee, receiver or liquidator of any Person or any Governmental Authority or by any court with respect to any Person, or any Governmental Authority. To the extent permitted by applicable law, Lessee hereby waives all right (a) to terminate or surrender this Lease (except as permitted under the terms of the Operative Agreements) or (b) to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Rent. Lessee shall remain obligated under this Lease in accordance with its terms and Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Lease. Notwithstanding any such statute (to the extent Lessee may legally waive the application of such applicable law) or otherwise, Lessee shall be bound by all of the terms and conditions contained in this Lease.

The Lessee shall remain obligated under this Master Lease in accordance with its terms and shall not take any action to terminate, rescind or avoid this LeaseMaster Lease (except as provided herein), notwithstanding any action for bankruptcy, insolvency, reorganization, liquidation, dissolution, or other proceeding affecting any Person the Lessor or any Governmental AuthorityParticipant, or any action with respect to this Master Lease or any Operative Agreement which may be taken by any trustee, receiver or liquidator of any Person the Lessor or any Governmental Authority Participant or by any court with respect to any Person, the Lessor or any Governmental AuthorityParticipant. The Lessee hereby waives all right (ai) to terminate or surrender this Master Lease (except as permitted under the terms of the Operative Agreementsprovided herein) or (bii) to avail itself of any abatement, Master Lease suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Rent. The Lessee shall remain obligated under this Master Lease in accordance with its terms and the Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Master Lease. Notwithstanding any such statute or otherwise, the Lessee shall be bound by all of the terms and conditions contained in this Master Lease.

Lessee shall remain obligated under this Lease in accordance with its terms and Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Lease. Notwithstanding any such statute or otherwise, Lessee shall be bound by all of the terms and conditions contained in this Lease.

Lessee shall remain obligated under this Lease in accordance with its terms and Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Lease. Notwithstanding Notwith-standing any such statute or otherwise, Lessee shall be bound by all of the terms and conditions contained in this Lease.

No Termination or Abatement. Lessee Lessees shall remain jointly and severally obligated under this Lease in accordance with its terms and, consistent with the intention of the parties expressed in Sections 2.5 and 15.1, shall not take any action to terminate, rescind or avoid this Lease, notwithstanding any action for bankruptcy, insolvency, reorganization, liquidation, dissolution, or other proceeding affecting any Person Lessor or any Governmental AuthorityCertificate Purchaser, or any action with respect to this Lease or any Operative Agreement which may be taken by any trusteecustodian, receiver receiver, liquidator, assignee, trustee or liquidator sequestrator (or other similar official) of any Person or any Governmental Authority or by any court with respect to any such Person, or any Governmental Authority. Each Lessee hereby waives all right (ai) to terminate or surrender this Lease (except as permitted under the terms of the Operative Agreementsprovided herein) or (bii) to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Rent. Lessee shall remain obligated under this Lease in accordance with its terms and Each Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Lease. Each Lessee hereby waives all right (ai) to terminate or surrender this Master Lease (except as permitted under the terms of the Operative Agreementsprovided herein) or (bii) to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Rent. Each Lessee shall remain obligated under this Master Lease in accordance with its terms and each Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Master Lease. Notwithstanding any such statute or otherwise, each Lessee shall be bound by all of the terms and conditions contained in this Lease.be

Notwithstanding any such statute or otherwise, Lessee shall be bound by all of the terms and conditions contained in this Lease.

The Lessee hereby waives waives, to the extent permitted by law, all right (ai) to terminate or surrender this Master Lease (except as permitted under the terms of the Operative Agreementsprovided herein) or (bii) to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Rent. The Lessee shall remain obligated under this Master Lease in accordance with its terms and the Lessee hereby waives waives, to the extent permitted by law, any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Master Lease. Notwithstanding any such statute or otherwise, the Lessee shall be bound by all of the terms and conditions contained in this LeaseMaster Lease and the Lease Supplements.

No Termination or Abatement. Lessee shall remain obligated under this Lease in accordance with its terms and, consistent with the intention of the parties expressed in SECTIONS 2.6 and 15.1, shall not take any action to terminateterminate (EXCEPT as expressly permitted by this Lease), rescind or avoid this Lease, notwithstanding any action for bankruptcy, insolvency, reorganization, liquidation, dissolution, or other proceeding affecting any Person Trustee, Administrative Agent or any Governmental AuthorityCertificate Purchaser, or any action with respect to this Lease or any Operative Agreement which may be taken by any trusteecustodian, receiver receiver, liquidator, assignee, trustee or liquidator sequestrator (or other similar official) of any Person or any Governmental Authority or by any court with respect to any such Person, or any Governmental Authority. Lessee hereby waives all right (ai) to terminate or surrender this Lease (except EXCEPT as expressly permitted under the terms of the Operative Agreementsby this Lease) or (bii) to avail itself of any abatement, suspension, deferment, reduction, setoff, non-compulsory counterclaim or defense with respect to any Rent. Lessee shall remain obligated under this Lease in accordance with its terms terms, and Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Lease. Notwithstanding Lease and, notwithstanding any such statute or otherwise, Lessee shall be bound by all of the terms and conditions contained in this Lease.
