The Common Stock of the Company (i) shall be listed on the Nasdaq Global Market and (ii) shall not have been suspended from trading on the Nasdaq Global Market. The Company shall have taken all necessary action to cause the Initial Shares and the shares of Common Stock issuable upon exercise of the Initial Company Warrants to be listed on the Nasdaq Global Market.
