Common use of No Subcontracting or Assignment Clause in Contracts

No Subcontracting or Assignment. Subcontractor shall not subcontract or delegate its duties and obligations under this Agreement without first obtaining Contractor’s written consent in each instance, and for each specific subcontractor of Subcontractor. Subcontractor agrees that any attempt to subcontract or delegate its duties and obligations without Contractor’s prior written consent shall be void ab initio. In the event that Contractor consents to Subcontractor subcontracting or delegating any of its duties and obligations under this Agreement, as a condition to such consent, Subcontractor must enter into a written agreement with such third party containing provisions consistent with this Agreement, in Contractor’s sole discretion. Subcontractor shall not assign any part of this Agreement or any other Contract Document or any part thereof, including any Statement of Work, without the prior written consent of Contractor.
