No Securities Transactions. The Company shall not, directly or indirectly, engage in any transactions involving the securities of Parent prior to the time of the making of a public announcement of the transactions contemplated by this Agreement. The Company shall use its reasonable best efforts to require each of its Affiliates, officers, directors, employees, agents, representatives and stockholders to comply with the foregoing requirement.
