Common use of No Sale/Encumbrance Clause in Contracts

No Sale/Encumbrance. (a) Borrower shall not, without the prior written consent of Lender, cause or permit a Transfer of the Properties or the Collateral or any part thereof or any legal or beneficial interest therein nor permit a Transfer of an interest in any Restricted Party, nor otherwise permit a dissolution of a Restricted Party, other than pursuant to Leases of space in the Improvements to Tenants in accordance with the provisions of Section 5.13 or as otherwise expressly permitted in accordance with the terms of this Agreement (in each case, a “Prohibited Transfer”).

No Sale/Encumbrance. (a) Borrower shall not, without the prior written consent of Lender, not cause or permit a Transfer Sale or Pledge of the Properties or the Collateral Property or any part thereof or any legal or beneficial interest therein nor permit a Transfer Sale or Pledge of an interest in any Restricted PartyParty (in each case, nor otherwise permit a dissolution of a Restricted Party“Prohibited Transfer”), other than pursuant to Leases of space in the Improvements to Tenants in accordance with the provisions of Section 5.13 or as otherwise expressly permitted in accordance with 5.13, without the terms prior written consent of this Agreement (in each case, a “Prohibited Transfer”)Lender.

Subject to the provisions of Section 7.3, (a) No Borrower shall not, without the prior written consent of Lender, cause or permit a Transfer transfer of the Properties or the Collateral or any part thereof or any legal or beneficial interest therein Property nor permit a Transfer transfer of an interest in any Restricted PartyParty (in each case, nor otherwise permit a dissolution of a Restricted Party“Prohibited Transfer”), other than pursuant to Leases of space in the Improvements to Tenants in accordance with the provisions of Section 5.13 or as otherwise expressly permitted in accordance with 5.13, without the terms prior written consent of this Agreement (in each case, a “Prohibited Transfer”)Lender.

(a) Borrower shall not, without the prior written consent of Lender, cause or permit a Transfer of the Properties or the Collateral Property or any part thereof or any legal or beneficial interest therein nor permit a Transfer of an interest in any Restricted Party, nor otherwise permit a dissolution of a Restricted Party, other than pursuant to Leases of space in the Improvements to Tenants in accordance with the provisions of Section 5.13 or as otherwise expressly permitted in accordance with the terms of this Agreement (in each case, a “Prohibited Transfer”).

No Sale/Encumbrance. (a) Except as otherwise permitted by this Agreement, Borrower shall not, without the prior written consent of Lender, not (i) cause or permit a Transfer Sale or Pledge of the Properties or the Collateral Property or any part thereof or any legal or beneficial interest therein nor permit a Transfer of an interest in any Restricted Party, nor otherwise permit a dissolution of a Restricted Party, (other than pursuant to Leases of space in the Improvements to Tenants in accordance with the provisions of Section 5.13 5.13) or as otherwise expressly permitted (ii) permit a Sale or Pledge of an equity interest in accordance with the terms of this Agreement any Restricted Party (in each case, a “Prohibited Transfer”), without the prior written consent of Lender.

(a) Borrower shall not, without Without the prior written consent of Lender, Borrower shall not cause or permit (i) a Transfer Sale or Pledge of the Properties or the Collateral Property or any part thereof or any legal or beneficial interest therein nor permit therein, (ii) a Transfer Sale or Pledge of an interest in any Restricted PartyParty or (iii) any change in Control of Borrower, nor otherwise permit a dissolution Operating Partnership or Guarantor, or any change in control of a Restricted Partythe day-to-day operations of the Property, other than pursuant to Leases of space in the Improvements to Tenants in accordance with the provisions of Section 5.13 or as otherwise expressly permitted in accordance with the terms of this Agreement 4.14 (in each casecollectively, a “Prohibited Transfer”).

No Sale/Encumbrance. (ak) Borrower shall not, without the prior written consent of Lender, cause or permit a Transfer of the Properties or any part thereof or any legal or beneficial interest therein or the Collateral or any part thereof or any legal or beneficial interest therein nor permit a Transfer of an interest in any Restricted Party, nor otherwise permit a dissolution of a Restricted Party, other than pursuant to Leases of space in the Improvements to Tenants in accordance with the provisions 00000000.0.XXXXXXXX 119 of Section 5.13 or as otherwise expressly permitted in accordance with the terms of this Agreement (in each case, a “Prohibited Transfer”).

No Sale/Encumbrance. (a) Borrower shall not, without the prior written consent of Lender, cause or permit a Transfer of the Properties or the Collateral or any part thereof or any legal or beneficial interest therein nor permit a Transfer of an interest in any Restricted Party, nor otherwise permit a dissolution of a Restricted Party, other than pursuant to Leases of space in the Improvements to Tenants in accordance with the provisions of Section 5.13 5.13, a Condemnation in accordance with the provisions of Section 8.4 or as otherwise expressly permitted in accordance with the terms of this Agreement (in each case, a “Prohibited Transfer”).

(ak) Borrower shall not, without the prior written consent of Lender, cause or permit a Transfer of the Properties or the Collateral or any part thereof or any legal or beneficial interest therein nor permit a Transfer of an interest in any Restricted Party, nor otherwise permit a dissolution of a Restricted Party, other than pursuant to Leases of space in the Improvements to Tenants in accordance with the provisions of Section 5.13 or as otherwise expressly permitted in accordance with the terms of this Agreement (in each case, a “Prohibited Transfer”).
