No Registration Rights to Third Parties. Without the prior written consent of Cadence, Tality covenants and agrees that it shall not grant, or cause or permit to be created, for the benefit of any Person any registration rights of any kind (whether similar to the demand, "piggyback" or Form S-3 registration rights described in this Section 3.4 or otherwise) relating to any equity securities of Tality, other than rights that are subordinate in right to those granted hereunder.
