No Prejudice of Rights. The failure of a Party to insist on any one or more instances upon strict performance of any provisions of this Agreement, or to take advantage of any of its rights hereunder, shall not be construed as a waiver of any such provisions or the relinquishment of any such right or any other right hereunder, which shall remain in full force and effect. No term or condition of this Agreement shall be deemed to have been waived and no breach excused unless such waiver or consent to excuse is in writing and signed by the Party claimed to have waived or consented to excuse.
No Prejudice of Rights. Termination of the SOC does not extinguish or prejudice Agency’s right to enforce the SOC with respect to any default by Contractor that has not been cured. Termination pursuant to this Section shall be without prejudice to any obligations or liabilities of either party already accrued prior to such termination.

No one or more Warrantholders will have any right in any manner whatsoever to affect, disturb or prejudice the rights hereby created by his or their action, or to enforce any right under this Indenture or under any Warrant Certificate, except subject to the conditions and in the manner provided in this Indenture and all powers and trusts under this Indenture will be exercised and all proceedings at law will be instituted, had and maintained by the Trustee, except only as provided in this Indenture, and in any event for the equal benefit of all Warrantholders.
No Prejudice of Rights. The failure by either Party to enforce any of the terms of this ICA or the SOP shall not be deemed a waiver of the right of either to do so.

The parties acknowledge that (i) nothing contained in Section 2.05 shall in any way prejudice the rights of the other member of DE under the Operating Agreement and (ii) the Operating Agreement, including, without limitation, Articles VI and VIII thereof, remains in full force and effect.
