No Pending Governmental Litigation. There shall not be pending before any court of competent jurisdiction any legal proceeding commenced by a U.S. federal or state Governmental Authority that (i) is likely to result in a judgment in favor of such Governmental Authority and that challenges or seeks to restrain or prohibit the consummation of the Merger or (ii) relates to the Merger and seeks to obtain from Company any material damages or other relief.
