Common use of No Order Clause in Contracts

No Order. No Governmental Authority shall have enacted, threatened, issued, promulgated, enforced or entered any Governmental Order that is then in effect, pending or threatened and has, or would have, the effect of prohibiting, restraining, enjoining or restricting the consummation of the Transactions;

No Order. No Governmental Authority shall have enacted, threatened, issued, promulgated, enforced or entered any Law or Governmental Order (whether temporary, preliminary or permanent) that is then in effect, pending or threatened and has, or would have, has the effect of prohibiting, restraining, enjoining making the transactions contemplated by this Agreement or restricting the Ancillary Agreements illegal or otherwise restraining or prohibiting the consummation of the Transactionssuch transactions;

No Order. No Governmental Authority shall have enacted, threatened, issued, promulgated, enforced or entered any Law or Governmental Order (whether temporary, preliminary or permanent) that is then in effect, pending or threatened and has, or would have, has the effect of prohibiting, restraining, enjoining making the transactions contemplated by this Agreement or restricting the Ancillary Agreements illegal or otherwise restraining or prohibiting the consummation of the Transactions;such transactions; and

No Order. No Governmental Authority shall have enacted, threatened, issued, promulgated, enforced or entered any Governmental Law or Order that which is then in effect, pending effect preventing or threatened and has, or would have, prohibiting consummation of the effect of prohibiting, restraining, enjoining transactions contemplated by this Agreement or restricting the consummation of the Transactions;transactions contemplated by this Agreement in a manner that would have a Seller Material Adverse Effect or a Company Material Adverse Effect.

No Order. No Governmental Authority or court of competent jurisdiction shall have enacted, threatened, issued, promulgated, enforced or entered any Governmental Order that is then in effect, pending or threatened and has, or would have, the effect of prohibiting, restraining, enjoining or restricting the prohibiting consummation of the Transactionstransactions contemplated by this Agreement;

No Governmental Authority shall have enacted, threatened, issued, promulgated, enforced or entered any statute, rule, regulation, injunction or other Governmental Order that which is then in effect, pending or threatened effect and has, or would have, has the effect of prohibiting, restraining, enjoining prohibiting the sale or restricting the consummation purchase of the TransactionsShares;

No Order. No Governmental Authority shall have enacted, threatened, issued, promulgated, enforced or entered any Governmental Order that which is then in effect, pending effect preventing or threatened and has, or would have, prohibiting consummation of the effect of prohibiting, restraining, enjoining transactions contemplated by this Agreement or restricting the consummation of the Transactions;transactions contemplated by this Agreement.

No Order. No Governmental Authority shall have enacted, threatened, issued, promulgated, enforced or entered any Governmental Law or Order that (whether temporary, preliminary or permanent) which is then in effecteffect or is pending, pending proposed or threatened and has, or would have, have the effect of prohibitingenjoining, restraining, enjoining prohibiting or restricting otherwise making illegal the consummation of the Transactions;Transactions (collectively, a “Restraint”).

No Governmental Authority shall have enacted, threatened, issued, promulgated, enforced or entered any Governmental Order that is then in effect, pending or threatened and has, or would have, the effect of prohibiting, restraining, enjoining or restricting the prohibiting consummation of the Transactionstransactions contemplated by this Agreement;

No Order. No Governmental Authority shall have enacted, threatened, issued, promulgated, enforced or entered any Governmental Order statute, rule, regulation, executive order, decree, injunction or other order (whether temporary, preliminary or permanent) that is then in effect, pending or threatened and has, or would have, has the effect of prohibitingrestricting in any material respect, restraining, enjoining preventing or restricting the prohibiting consummation of the Transactions;transactions contemplated hereby.

No Order. No Governmental Authority shall have enacted, threatened, issued, promulgated, enforced decreed or entered any Governmental Order that Order, which is then in effect, pending or threatened effect and has, or would have, has the effect of prohibiting, restraining, enjoining restraining or restricting preventing (or delaying beyond the Outside Date) the consummation of or imposing material modifications on the Transactions;transactions contemplated by this Agreement.

No Order. No Governmental Authority shall have enacted, threatened, issued, promulgated, enforced decreed, or entered any Governmental Order that Order, which is then in effect, pending or threatened effect and has, or would have, has the effect of prohibiting, restraining, enjoining preventing the (or restricting delaying beyond the Outside Date) consummation of or imposing material modifications on the Transactions;transactions contemplated by this Agreement.

No Order. No Governmental Authority shall have enacted, threatened, issued, promulgated, enforced or entered any Law or Governmental Order (whether temporary, preliminary or permanent) that is then in effect, pending or threatened and has, or would have, has the effect of prohibiting, restraining, enjoining making any of the Transactions illegal or restricting otherwise restraining or prohibiting the consummation of any of the Transactions;.

No Order. No Governmental Authority shall have enacted, threatened, issued, promulgated, enforced or entered any Governmental Order that is then in effect, pending or threatened threatened, and has, or would is reasonably likely to have, the effect of prohibiting, restraining, enjoining or restricting the prohibiting consummation of the TransactionsClosing;

No Order. No Governmental Authority shall have enacted, threatened, issued, promulgated, enforced or entered any Governmental Order (whether temporary, preliminary or permanent), in any case which is in effect and that is then in effect, pending prevents or threatened and has, or would have, the effect of prohibiting, restraining, enjoining or restricting prohibits the consummation of the Contemplated Transactions;; provided that the Parties shall use commercially reasonable efforts to cause any such Order to be vacated or lifted as expeditiously as possible; provided further that the failure to obtain a required Governmental Authorization shall not form the basis for an assertion that this condition is not satisfied.

No Order. No Governmental Authority shall have enacted, threatened, issued, promulgated, enforced or entered any Law or Governmental Order that is then in effect(whether temporary, pending preliminary or threatened and haspermanent), or instituted any Action to enact, issue, promulgate, enforce or enter any Law or Governmental Order (whether temporary, preliminary or permanent), that has or would have, have the effect of prohibiting, restraining, making the transactions contemplated by this Agreement illegal or otherwise enjoining or restricting prohibiting the consummation of the Transactions;such transactions.

No Order. No Governmental Authority shall have enacted, threatened, issued, promulgated, enforced or entered any Governmental Order that Law, whether temporary, preliminary or permanent, which is then in effect, pending or threatened effect and has, or would have, has the effect of prohibitingenjoining, restraining, enjoining prohibiting or restricting otherwise preventing the consummation of the Transactions;Transactions (collectively, a “Restraint”) or imposing a Burdensome Effect.

No Order. No Governmental Authority shall have enacted, threatened, issued, promulgated, enforced or entered any statute, rule, regulation, injunction or other Governmental Order that which is then in effect, pending or threatened effect and has, or would have, has the effect of prohibiting, restraining, enjoining prohibiting the sale or restricting the consummation purchase of the TransactionsShares or the delivery of the Consideration;
