Common use of No Order Clause in Contracts

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement or Order which is in effect and which has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this Agreement.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which is in effect and which (whether temporary, preliminary or permanent) that has the effect of making illegal, the Transactions illegal or otherwise restraining or otherwise prohibiting the consummation of the transactions contemplated by this Agreement.such transactions; and

No Order. No Governmental Authority Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, executive order, decree, injunction or Order which other order (whether temporary, preliminary or permanent) that (i) is in effect and which (ii) has the effect of making illegal, restraining the Transaction illegal or otherwise prohibiting the consummation of the transactions contemplated by this AgreementTransaction.

No Order. No Governmental Authority in the United States shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which is in effect and which (whether temporary, preliminary or permanent) that has the effect of making illegal, restraining the transactions contemplated by this Agreement illegal or otherwise prohibiting the consummation of the such transactions contemplated by this Agreement.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which is in effect and which (whether temporary, preliminary or permanent) that has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this AgreementAgreement or the Ancillary Agreements illegal or otherwise restraining or prohibiting the consummation of such transactions unless same shall have expired or shall have been terminated.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, injunction or other Governmental Order (whether temporary, preliminary or permanent) which is in effect and which has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this Agreementagreement illegal or otherwise restraining or prohibiting consummation of such transactions.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement law, rule, regulation, judgment, injunction, order or Order decree (whether temporary, preliminary or permanent) which is in effect and which has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this AgreementAgreement illegal or otherwise restraining or prohibiting consummation of such transactions.

No Order. No Governmental Authority Body shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, injunction or other Order (whether temporary, preliminary or permanent) which is in effect and which has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this AgreementAgreement illegal or otherwise restraining or prohibiting consummation of such transactions and which are not satisfied or resolved or preempted by the Sale Order.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which is in effect and which (whether temporary, preliminary or permanent) that has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this Agreement.Agreement illegal or otherwise restraining or prohibiting the consummation of such transactions; and

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Governmental Order (whether temporary, preliminary or Order which is in effect and which permanent) that has the effect of making illegal, restraining the transactions contemplated by this Agreement illegal or otherwise prohibiting the consummation of the transactions contemplated by this Agreementsuch transactions.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which is in effect and which (whether temporary, preliminary or permanent) that has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this Agreement.Agreement or the Registration Rights Agreement illegal or otherwise restraining or prohibiting the consummation of such transactions;

No Governmental Authority Entity shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, injunction or Order other order which is in effect and which has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this AgreementAgreement illegal or otherwise restraining or prohibiting consummation of such transactions; provided, however, that the parties hereto shall use their reasonable efforts to have any such order or injunction vacated.

No Governmental Authority Entity shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, executive order, decree, injunction or Order other order (whether temporary, preliminary or permanent) which is in effect and which has the effect of making illegal, restraining the Transaction illegal or otherwise prohibiting the consummation of the transactions contemplated by this AgreementTransaction.

No Order. No Governmental Authority Entity shall have enacted, issued, promulgated, enforced or entered any Legal Requirement applicable Law or Court Order (whether temporary, preliminary or permanent) which is then in effect and which has the effect of making the transactions contemplated by this Agreement illegal, restraining otherwise enjoining or otherwise prohibiting the consummation of such transactions, or that would prevent, or materially impair or delay the ability of either Party to consummate the transactions contemplated by this Agreement.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, executive order, decree, injunction or Order other order (whether temporary, preliminary or permanent) which is in effect and which has the effect of making illegal, restraining the transaction illegal or otherwise prohibiting the consummation of the transactions contemplated by this Agreementtransaction.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, injunction or other Governmental Order (whether temporary, preliminary or permanent) which is in effect and which has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this AgreementAgreement illegal or otherwise restraining or prohibiting consummation of such transactions; or which would otherwise materially adversely affect or interfere with the operation of the Business following Closing.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which is in effect and which (whether temporary, preliminary or permanent) that has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this Agreement.Agreement or the Ancillary Agreements illegal or otherwise restraining, materially delaying or prohibiting the consummation of such transactions;

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which is then in effect and which has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this Agreement.Agreement illegal or otherwise prohibiting its consummation; and

No Order. No Governmental or Regulatory Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, executive order, decree, injunction or other Order (whether temporary, preliminary or permanent) which is in effect and which has the effect of making illegal, restraining the transactions contemplated hereby illegal or otherwise prohibiting the consummation of the transactions contemplated by this Agreementhereby.

No Order. No Governmental Authority Entity shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, executive order, decree, injunction, order or Order other legal restraint (whether temporary, preliminary or permanent) which is in effect and which has the effect of making illegalthe Share Purchase, restraining this Agreement, any of the Ancillary Agreements or any of the Transactions illegal or otherwise prohibiting or preventing the consummation of the transactions contemplated by Share Purchase, this Agreement, any of the Ancillary Agreements or any of the Transactions.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement or Order which Law that is in effect and which has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this AgreementAgreement illegal or otherwise restraining or prohibiting the consummation of such transactions.

No Order. (i) No Governmental or Regulatory Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement or Order which that is in effect and which that has the effect of making illegal, restraining the Transactions illegal or otherwise prohibiting the consummation of the transactions contemplated by this AgreementTransactions and (ii) no Proceeding regarding such an Order shall be pending.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement or Order which Applicable Law that is in effect and which has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this AgreementAgreement illegal or otherwise restraining or prohibiting the consummation of such transactions.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which that is in effect and which that has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this Agreement.Agreement illegal or otherwise restraining or prohibiting the consummation of such transactions; and

No Order. No Governmental Authority Entity shall have enacted, issued, promulgatedpromulgated or enforced any statute, enforced rule, regulation, executive order, decree, injunction or entered any Legal Requirement other order (whether temporary, preliminary or Order permanent) which is in effect and which has the effect of making illegal, restraining the Acquisition or otherwise prohibiting the consummation of the other transactions contemplated by this AgreementAgreement or any of the Ancillary Agreements illegal or otherwise prohibit the consummation of any of the foregoing.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which that is in effect and which that has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this Agreement.Agreement illegal or otherwise restraining or prohibiting the consummation of such transactions;

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which is in effect and which (whether temporary, preliminary or permanent) that has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this Agreement.Agreement illegal or otherwise restraining or prohibiting the consummation of such transactions, nor shall any Action brought by or on behalf of any Governmental Authority be pending which would reasonably be expected to have such effect;

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which is in effect and which (whether temporary, preliminary or permanent) that has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this Agreement.Agreement or the Ancillary Agreements illegal or otherwise restraining or prohibiting the consummation of such transactions; ARTICLE VII INDEMNIFICATION

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which is in effect and which that has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this AgreementAgreement illegal or otherwise restraining or prohibiting the consummation of such transactions.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which is in effect and which that has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this Agreement.Agreement illegal or otherwise restraining or prohibiting the consummation of such transactions;

No Governmental Authority Entity shall have enacted, issued, promulgated, enforced or entered enacted any Legal Requirement (whether temporary, preliminary or Order permanent) which is in effect and which has the effect of making illegal, restraining the Acquisition or otherwise prohibiting the consummation of the other transactions contemplated by this AgreementAgreement or any of the Ancillary Agreements illegal or otherwise prohibit the consummation of any of the foregoing.

No Order. No Governmental Authority Body shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, injunction or Order other order (whether temporary, preliminary or permanent) which is in effect and which has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this AgreementAgreement illegal or otherwise restraining or prohibiting consummation of such transactions and which are not satisfied or resolved or preempted by the Sale Approval Order.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which is in effect and which (whether temporary, preliminary or permanent) that has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this Agreement.Agreement or the Employment Agreements illegal or otherwise restraining or prohibiting the consummation of such transactions; and

No Order. No Governmental Authority Entity shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, executive order, decree, injunction, order or Order other legal restraint (whether temporary, preliminary or permanent) which is in effect and which has the effect of making illegalthe Merger, restraining any of the Related Agreements or any of the transactions contemplated hereby or thereby illegal or otherwise prohibiting or preventing the consummation of the Merger, any of the Related Agreements or any of the transactions contemplated by this Agreementhereby or thereby.

No Order. No Governmental Authority federal, state or foreign governmental authority or other agency or commission or court of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, injunction or Order other order (whether temporary, preliminary or permanent) which is remains in effect effect, and which has the effect of making illegal, restraining the transactions contemplated hereby illegal or otherwise prohibiting the consummation of the transactions contemplated by this AgreementSale.

No Order. No Governmental Authority United States or state governmental authority or other agency or commission shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, injunction or Order other order (whether temporary, preliminary or permanent) which is in effect and which has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this Agreement.Agreement illegal or otherwise restraining or prohibiting consummation of such transactions or which would have a Material Adverse Effect; provided, however, that the parties hereto shall use their commercially reasonable efforts to have any such order or injunction vacated;

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which is in effect and which that has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this Agreement.Agreement or the Ancillary Agreements illegal or otherwise restraining or prohibiting the consummation of such transactions; and

No Governmental Authority Entity shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Court Order (whether temporary, preliminary or permanent) which is then in effect and which has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this AgreementAgreement or by the Ancillary Agreements illegal or otherwise enjoining or prohibiting the consummation of such transactions.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Order (whether temporary, preliminary or Order which is in effect and which permanent) that has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this AgreementAgreement or the Related Documents illegal or otherwise significantly restraining or prohibiting the consummation of such transactions.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, injunction or Order other order (whether temporary, preliminary or permanent) which is in effect and which has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this AgreementAgreement illegal or otherwise restraining or prohibiting consummation of such transactions; PROVIDED, HOWEVER, that the parties hereto shall use their reasonable efforts to have any such order or injunction vacated.

No Order. No Governmental Authority Body shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Order which is in effect and which that has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this AgreementAgreement illegal or otherwise restraining or prohibiting the consummation of such transactions.

No Order. No Governmental Authority Entity shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, executive order, decree, injunction or Order other order (whether temporary, preliminary or permanent) which is in effect and which has the effect of making illegal, restraining the sale of Shares illegal or otherwise prohibiting the consummation of the transactions contemplated by under this Agreement.

No Order. No Governmental Authority Body shall have enacted, issued, promulgated, enforced or entered any Legal Requirement of Law or Order Order, which is then in effect and which has the effect of making illegaleffect, restraining preventing or otherwise prohibiting the consummation of the transactions contemplated by this AgreementAgreement or any Ancillary Agreement or performance thereof (nor shall any proceeding by any Governmental Body seeking any such Order be pending).

No Order. No Law or Order (whether temporary, preliminary or permanent) shall have been enacted, issued or enforced by any court or other Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement or Order which of competent jurisdiction that is in effect and which has the effect of making illegal, restraining that prevents or otherwise prohibiting the prohibits consummation of the transactions contemplated by this Agreement.Transactions. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which is in effect and which (whether temporary, preliminary, or permanent) that has the effect of making illegalthe Transaction illegal or otherwise restraining, restraining enjoining, or otherwise prohibiting the consummation of the transactions contemplated by this AgreementTransaction.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement or Order which is in effect and which has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by in this AgreementAgreement illegal or otherwise restraining or prohibiting consummation of such transactions. No suit, claim or proceeding or investigation before any court, arbitrator or Governmental Authority shall have been commenced against ADP or any of its Affiliates to prevent the sale of the Purchased Assets or asserting that the sale of the Purchased Assets would be illegal.

No Order. No Order. No Governmental Authority Entity shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, executive order, decree, injunction, judgment or Order other order (whether temporary, preliminary or permanent) (each, an “Order”) which is in effect and which has the effect of making illegal, restraining the Sale illegal or otherwise prohibiting the consummation of the transactions contemplated by this AgreementSale.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which is in effect and which (whether temporary, preliminary or permanent) that has the effect of making illegal, restraining the transactions contemplated by this Agreement or the Ancillary Agreements illegal or otherwise prohibiting the consummation of the transactions contemplated by this Agreement.such transactions; and

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement or Governmental Order which is in effect and which (whether temporary, preliminary or permanent) that has the effect of making illegal, the Transactions illegal or otherwise restraining or otherwise prohibiting the consummation of the transactions contemplated by this Agreement.Transactions; and

No Governmental Authority Entity shall have enacted, issued, promulgated, enforced or entered any Legal Requirement (including any injunction or Order other order, whether temporary, preliminary or permanent) which is in effect and which has the effect of making illegal, restraining the Contemplated Transactions illegal or otherwise prohibiting the consummation of the transactions contemplated by this AgreementContemplated Transactions.

No Governmental Authority Entity shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, executive order, decree, injunction or Order other order (whether temporary, preliminary or permanent) which is in effect and which has the effect of making illegal, restraining the transactions contemplated by this Agreement illegal or otherwise prohibiting the consummation of the transactions contemplated by this Agreement.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which is in effect and which (whether temporary, preliminary or permanent) that has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this AgreementAgreement or the Ancillary Agreements illegal or that otherwise restrains or otherwise prohibits the consummation of such transactions.

No Governmental Authority Body shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, injunction or Order other order (whether temporary, preliminary or permanent) which is in effect and which has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this AgreementAgreement illegal or otherwise restraining or prohibiting consummation of such transactions and which is not satisfied or resolved or preempted by the Sale Approval Order.

No Order. No Governmental Authority governmental entity shall have enacted, issued, promulgated, enforced or entered enacted any Legal Requirement statute, rule, regulation, executive order, decree, injunction or Order other order (whether temporary, preliminary or permanent) which is in effect and which has the effect of making illegal, restraining the Acquisition or otherwise prohibiting the consummation of the other transactions contemplated by this AgreementAgreement illegal or otherwise prohibit the consummation of any of the foregoing.

No Order. No Governmental Authority Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, executive order, decree, injunction or Order other order (whether temporary, preliminary or permanent) which (i) is in effect and which (ii) has the effect of making illegal, restraining the transactions contemplated hereby illegal or otherwise prohibiting or preventing the consummation of the transactions contemplated by this Agreementhereby.

No Order. No Governmental Authority Entity shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule, regulation, injunction or Order other order which is in effect and which has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this AgreementAgreement illegal or otherwise restraining or prohibiting consummation of such 45 transactions; provided, however, that the parties hereto shall use their reasonable efforts to have any such order or injunction vacated.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which is in effect and which (whether temporary, preliminary or permanent) that has the effect of making illegal, restraining the transactions contemplated by this Agreement (or otherwise prohibiting any other related documents to be executed by the consummation parties hereto as part of the transactions contemplated by this Agreement.) illegal or subject to obtaining any Authorisation or otherwise restraining or prohibiting the consummation of such transactions; and

No Court or Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law, Regulation or Order which (whether temporary, preliminary or permanent) that is in effect and which has the effect of making illegal, restraining the transactions contemplated hereby illegal or otherwise prohibiting the consummation of the transactions contemplated by this Agreementhereby.

No Governmental Authority Entity, including any court or tribunal of competent jurisdiction, shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law (whether temporary, preliminary or Order permanent) which is in effect and which has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated hereby illegal or otherwise prohibits the performance by Buyer, Seller, the Company or any Company Subsidiary of their respective obligations under this Agreement.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement order, decree, judgment, injunction or Order other ruling (whether temporary, preliminary or permanent), in any case which is in effect and which has prevents or prohibits consummation of the effect of making illegaltransactions contemplated hereby; and there shall not be any statute, restraining rule, regulation or otherwise prohibiting order enacted, entered, enforced or deemed applicable to the transactions contemplated hereby, which makes the consummation of the transactions contemplated by this Agreementhereby illegal.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Governmental Order which is in effect and which (whether temporary, preliminary or permanent) that has the effect of making illegal, restraining or otherwise prohibiting the consummation of the transactions contemplated by this Agreement.Agreement illegal or that otherwise restrains, conditions or otherwise prohibits the consummation of such transactions;

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Legal Requirement decision, injunction, decree, ruling, Law or Order which (whether temporary, preliminary or permanent) that is in effect and which has the effect of making illegal, restraining enjoins or otherwise prohibiting prohibits or makes illegal the consummation of the transactions contemplated by this Agreement.
