Common use of No Obligation of the Warrant Agent Clause in Contracts

No Obligation of the Warrant Agent. The Warrant Agent shall have no responsibility or obligation to any beneficial owner of a Global Warrant, a member of, or a participant in DTC or other Person with respect to any ownership interest in the Warrants, with respect to the accuracy of the records of DTC or its nominee or of any participant or member thereof or with respect to the delivery to any participant, member, beneficial owner or other Person (other than DTC) of any notice (including any notice of redemption) or the payment of any amount, under or with respect to such Warrants. All notices and communications with respect to the Warrants shall be given to the Holders and all payments in respect of the Warrants represented by the Global Warrant shall be made by wire transfer of immediately available funds to the accounts specified by the Holder of the Global Warrant. With respect to Definitive Warrants, the Company will make all payments by wire transfer of immediately available funds to the accounts specified by the Holders thereof or, if no such account is specified, by mailing a check to each such Holder's registered address. The rights of beneficial owners in any Global Warrant shall be exercised only through DTC subject to the applicable rules and procedures of DTC. The Warrant Agent may rely and shall be fully protected and indemnified pursuant to Section 6.5 in relying upon information furnished by DTC with respect to any beneficial owners, its members and participants.
