NO MERGER OF THE BUYER. Each of the Buyer and the Parent hereby agrees that, so long as any of the Seller or the Founders beneficially own any Interests in the Company, the Buyer shall not be merged with or into the Company. Subject to the preceding sentence, the Parent shall give the Seller prior written notice of any sale of the Stock of the Buyer by the Parent, or merger of the Buyer with or into any other Person, or other reorganization of the capital structure of the Buyer.
