No Kickbacks. Neither the Company nor any of its subsidiaries, nor, to the knowledge of the Company, any director, officer or employee of the Company or any of its subsidiaries acting for or on behalf of the Company or any of its subsidiaries, has paid or caused to be paid, directly or indirectly, in connection with the business of the Company or any of its subsidiaries, (i) any bribe, kickback or other similar payment to any Governmental Entity or any agent of any supplier or customer, except for payments to V. Corp and its affiliates that were in compliance with applicable law, or (ii) any contribution to any political party or candidate (other than from personal funds of directors, officers or employees not reimbursed by their respective employers or in compliance with applicable law).
