No Injunction or Action. No order, statute, rule, regulation, executive order, stay, decree, judgment or injunction shall have been enacted, entered, promulgated or enforced by any court or other Governmental Authority which prohibits or prevents the consummation of the Merger which has not been vacated, dismissed or withdrawn by the Closing Date. EDI and Bowm▇▇ ▇▇▇ll use their reasonable best efforts to have any of the foregoing vacated, dismissed or withdrawn by the Closing Date.
