No Guarantees. None of the Liabilities of the Business or of Seller incurred in connection with the conduct of the Business is guaranteed by or subject to a similar contingent obligation of any other Person, nor has Seller guaranteed or become subject to a similar contingent obligation in respect of the Liabilities of any customer, supplier or other Person to whom Seller sells goods or provides services in the conduct of the Business or with whom Seller otherwise has significant business relationships in the conduct of the Business.

No Guarantees. None of the Liabilities obligations or liabilities of the Business or of Seller incurred in connection with the conduct operation of the Business (including the use of the Assets) is guaranteed by or subject to a similar contingent obligation of any other Person, nor . Seller has Seller not guaranteed or become subject to a similar contingent obligation in respect of the Liabilities obligations or liabilities of any customerother Person. There are no outstanding letters of credit, supplier surety bonds or other Person to whom similar instruments of Seller sells goods or provides services any of its Affiliates in the conduct of connection with the Business or with whom Seller otherwise has significant business relationships in the conduct of the BusinessAssets.

No Guarantees. None of the Liabilities liabilities of the Business or of Seller incurred in connection with the conduct of the Business is guaranteed by or subject to a similar contingent obligation of any other Person, nor has Seller guaranteed or become subject to a similar contingent obligation in respect of the Liabilities liabilities of any customer, supplier or other Person to whom Seller sells goods or provides services in the conduct of the Business or with whom Seller otherwise has significant business relationships in the conduct of the Business.

No Guarantees. None Except as provided in Section 2.26 of the Disclosure Schedule, none of the Liabilities of the Business or of Seller incurred in connection with the conduct of the Business is guaranteed by or subject to a similar contingent obligation of any other Person, nor has Seller guaranteed or become subject to a similar contingent obligation in respect of the Liabilities of any customer, supplier or other Person to whom Seller sells goods or provides services in the conduct of the Business or with whom Seller otherwise has significant business relationships in the conduct of the Business.

No Guarantees. None of the Liabilities of the Seller's Business or of the Seller incurred in connection with the conduct of the Seller's Business is guaranteed by or subject to a similar contingent obligation of any other Person, nor has the Seller guaranteed or become subject to a similar contingent obligation in respect of the Liabilities of any customer, supplier or other Person to whom Seller it sells goods or provides services in the conduct of the Seller's Business or with whom Seller it otherwise has significant business relationships in the conduct of the Seller's Business.

No Guarantees. None of the Liabilities of the Business or of Seller or any Subsidiary incurred in connection with the conduct of the Business is guaranteed by or subject to a similar contingent obligation of any other PersonPerson (including Acorn), nor has Seller guaranteed or become subject to a similar contingent obligation in respect of the Liabilities of any customer, supplier or other Person to whom Seller sells goods or provides services in the conduct of the Business or with whom Seller otherwise has significant business relationships in the conduct of the Business.

No Guarantees. None of the Liabilities liabilities of the Business or of Seller the ------------- Sellers incurred in connection with the conduct of the Business is guaranteed by or subject to a similar contingent obligation of any other Person, nor has either Seller guaranteed or become subject to a similar contingent obligation in respect of the Liabilities liabilities of any customer, supplier or other Person to whom either Seller sells goods or provides services in the conduct of the Business or with whom such Seller otherwise has significant business relationships in the conduct of the Business.

No Guarantees. None of the Liabilities of the Business or of Seller incurred in connection with the conduct of the Business is guaranteed by or subject to a similar contingent obligation of any other Person, nor has Seller guaranteed or become subject to a similar contingent obligation in respect of the Liabilities of any customer, supplier or other Person to whom Seller sells goods or provides services in the conduct of the Business or with whom Seller otherwise has significant business relationships in the conduct of the Businessrelationships.

No Guarantees. None of the Liabilities of the Business or of any Seller or any Subsidiary incurred in connection with the conduct of the Business is guaranteed by or subject to a similar contingent obligation of any other Person, nor has any Seller or any Subsidiary guaranteed or become subject to a similar contingent obligation in respect of the Liabilities of any customer, supplier or other Person to whom such Seller or such Subsidiary sells goods or provides services in the conduct of the Business or with whom such Seller or such Subsidiary otherwise has significant business relationships in the conduct of the Business.

No Guarantees. None of the Liabilities of the Business or of Seller the Sellers incurred in connection with the conduct operation of the Business is guaranteed by or subject to a similar contingent obligation of any other Person, . The Sellers have neither guaranteed nor has Seller guaranteed or become subject to a similar contingent obligation in respect of the Liabilities of any customerother Person. Except as set forth on Schedule 4.1.19, supplier there are no outstanding letters of credit, surety bonds or other Person to whom Seller sells goods similar instruments of the Sellers or provides services any of their Affiliates in the conduct of connection with the Business or with whom Seller otherwise has significant business relationships in the conduct of the BusinessAssets.

No Guarantees. None Except as disclosed on Schedule 4.21, none of the Liabilities liabilities of the Business or of Seller incurred in connection with the conduct of the Seller’s Business is guaranteed by or subject to a similar contingent obligation of any other Person, nor has the Seller guaranteed or become subject to a similar contingent obligation in respect of the Liabilities liabilities of any customer, supplier or other Person to whom the Seller sells goods or provides services in the conduct of the Seller’s Business or with whom the Seller otherwise has significant business relationships in the conduct of the Seller’s Business.

No Guarantees. None Except as disclosed on Section 2.29 of the Disclosure Schedule, none of the Liabilities of the Business or of Seller Sellers incurred in connection with the conduct of the Business is guaranteed by or subject to a similar contingent obligation of any other Person, nor has either Seller guaranteed or become subject to a similar contingent obligation in respect of the Liabilities of any customer, supplier or other Person to whom such Seller sells goods or provides services in the conduct of the Business or with whom such Seller otherwise has significant business relationships in the conduct of the Business.

No Guarantees. None of the Liabilities of the Business or of the Seller incurred in connection with the conduct of the Business is guaranteed by or subject to a similar contingent obligation of any other Person, nor . None of the Liabilities of the Business or of Seller or the Seller Subsidiaries incurred in connection with the conduct of the Business is guaranteed by or subject to a similar contingent obligation of any other Person, nor has Seller or any of the Seller Subsidiaries guaranteed or become subject to a similar contingent obligation in respect of the Liabilities of any customer, supplier or other Person to whom Seller and the Seller Subsidiaries sells goods or provides services in the conduct of the Business or with whom Seller and the Seller Subsidiaries otherwise has significant business relationships in the conduct of the Business.
