Common use of No Guarantee of Placement, Etc Clause in Contracts

No Guarantee of Placement, Etc. The Company acknowledges and agrees that (A) there can be no assurance that the Agent will be successful in placing Shares, (B) the Agent will incur no liability or obligation to the Company or any other Person if it does not sell Shares, (C) the Agent shall be under no obligation to purchase Shares on a principal basis pursuant to this Agreement, except as otherwise specifically agreed by the Agent and the Company, (D) there has not been, nor will there be, any advertisement or solicitation by such Agent in furtherance of the sale of the Shares in Canada, and (E) the Agent has not offered or sold, and will not offer or sell, any of the Shares in Canada or knowingly to a person resident in Canada, pursuant to this Agreement.

The Company acknowledges and agrees the Agent acknowledge and agree that (A) there can be no assurance that the Agent will be successful in placing Shares, ; (B) the Agent will incur no liability or obligation to the Company or any other Person if it does not sell Shares, ; (C) the Agent shall be under no obligation to purchase Shares on a principal basis pursuant to this Agreement, except as otherwise specifically agreed by the Agent and the Company, ; (D) there has not been, nor will there be, any advertisement or solicitation by such the Agent in furtherance of the sale of the Shares in Canada, ; and (E) the Agent will only offer and sell Shares pursuant to this Agreement on the facilities of an exchange or market outside Canada to purchasers who the Agent has not offered or sold, and will not offer or sell, any of the Shares no reason to believe are resident in Canada and, in all other cases, to purchasers who are not located or knowingly to a person resident in Canada, pursuant to this Agreement.
