No Governmental. Action is required for the due execution, delivery or performance by the Borrower of this Amendment or any of the Credit Documents, as amended hereby, to which the Borrower is or is to be a party.
No Governmental. Approval is required for the execution, delivery or performance by the Borrower of the Loan Documents, except for those Governmental Approvals set forth on Schedule II, each of which has been duly obtained or made and is in full force and effect and in respect of which all applicable periods of time for review, rehearing or appeal have expired. No Governmental Approval is required (i) for the performance by the Borrower of the Significant Contracts or (ii) in connection with the nature of the Borrower's business, except in each case for such as have been duly obtained or made and are in full force and effect and in respect of which all applicable periods of time for review, rehearing or appeal have expired, or, in the case of Governmental Approvals referred to in clause (ii), such as can reasonably be expected to be obtained in the ordinary course of the Borrower's business without undue burden or expense.
No Governmental. Prohibition No order, statute, rule, regulation, executive order, injunction, stay, decree, judgment or restraining order shall have been enacted, entered, promulgated or enforced by any court or governmental or regulatory authority or instrumentality which prohibits the consummation of the transactions contemplated hereby.
No Governmental. Entity shall have enacted, issued, promulgated, enforced or entered any statute, rule, regulation, judgment, decree, injunction or other order which is in effect, which would prohibit consummation of the Merger and the transactions contemplated by this Agreement.
No Governmental. Approval (as hereinafter defined), which has not been obtained or taken and is not in full force and effect, is required to authorize or is required in connection with the execution, delivery or performance of the Agreement by the Borrower. "Governmental Approval" means any consent, approval, license, authorization or validation of, or filing, recording or registration with, any Governmental Authority (as hereinafter defined) pursuant to Applicable Laws. "Governmental Authority" means any federal or New York executive, legislative, judicial, administrative or regulatory body.
No Governmental. Authority shall have notified either party to this Agreement that the consummation of the transactions contemplated hereby would constitute a violation of the Laws of the United States or the Laws of any state thereof or the Laws of the jurisdiction to which such Governmental Authority is subject and that it intends to commence proceedings to restrain the consummation of such transactions, to force divestiture if the same are consummated or to materially modify the terms or results of such transactions unless such Governmental Authority shall have withdrawn such notice, or has otherwise indicated in writing that it will not take any action, prior to what would otherwise have been the Effective Closing Date and the Funding Date.
No Governmental. Approval or consent or authorization of, filing with, notice to or other act by or in respect of, any other Person is required in connection with the extensions of credit hereunder or with the execution, delivery, performance, validity or enforceability of this Agreement or any of the Loan Documents, except (i) Governmental Approvals, consents, authorizations, filings and notices that have been obtained or made and are in full force and effect and (ii) the filings referred to in Section 3.15.
No Governmental. Action is required for the due execution, delivery or performance by the Borrower of this Amendment.
No Governmental. Approval or approval of any other Person (except such as have been duly obtained, made or given, and are in full force and effect) is required to authorize, or is required in connection with (i) the execution, delivery or performance of this Agreement by Pledgor or the consummation of any of the transactions contemplated hereby, (ii) the legality, validity, binding effect or enforceability of this Agreement or the perfection and maintenance of the security interest created hereby (including the first priority nature of such security interest) or (iii) for the exercise by the Administrative Agent of the voting or other rights provided for in this Agreement or the remedies in respect of the Collateral pursuant to this Agreement. All applicable waiting periods relating to any such Governmental Approval or other approval which are required and have been obtained have expired without any adverse action taken with respect thereto.
No Governmental. Approval is required for the execution and delivery by the Seller of this agreement, the performance by him of his obligations hereunder and the consummation by it of the transactions contemplated hereby.
