Neither the Selling Stockholder nor any person acting on behalf of the Selling Stockholder (other than, if applicable, the Company and the Underwriter) has used or referred to any “free writing prospectus” (as defined in Rule 405), relating to the Securities other than as set forth on Schedule A-3.

No Free Writing Prospectus. Neither the Such Selling Stockholder nor any person acting has not prepared or had prepared on its behalf of the Selling Stockholder (other than, if applicable, the Company and the Underwriter) has or used or referred to any “free writing prospectus” (as defined in Rule 405), relating to 405 under the Act and has not distributed any written materials in connection with the offer or sale of the Securities (other than through the Underwriters as set forth on Schedule A-3contemplated by this Agreement).
