No Deferral of Compensation. This Agreement is intended to be exempt from the requirements of Section 409A of the Internal Revenue Code by reason of all payments under this Agreement being either “short-term deferrals” within the meaning of Treas. Reg. § 1.409A-(1)(b)(4) or excluded welfare benefits under Treas. Reg. § 1.409A-(1)(a)(5). All provisions of this Agreement shall be interpreted in a manner consistent with preserving these exemptions.
