No Consent, Etc. No consent of any person (including without limitation, any stockholder or creditor of the Bank) and no consent, license, permit or approval or authorization or exemption by notice or report to, or registration, filing or declaration with, any governmental authority is required (other than those previously obtained and delivered to NextCard) in connection with the execution or delivery of this Agreement by the Bank, the validity of this Agreement with respect to the Bank, the enforceability of this Agreement against the Bank, the consummation by the Bank of the transactions contemplated hereby, or the performance by the Bank of its obligations hereunder; provided, however, that the Bank makes no representation as to whether any consent from Visa is required.
