No Consent, Etc. No consent of any Person (including without limitation any member or creditor of Servicer) and no consent, license, permit or approval or authorization or exemption by notice or report to, or registration, filing or declaration with, any Governmental Authority is required (other than those previously obtained and delivered to Lender and other than the filing of financing statements in connection with the transactions hereunder) in connection with the execution or delivery of this Origination Agreement or the Origination Papers by Servicer, the validity of this Origination Agreement or the Origination Papers with respect to Servicer, the enforceability of this Origination Agreement or the Origination Papers against Servicer, the consummation by Servicer of the transactions contemplated hereby or by the Origination Papers, or the performance by Servicer of its obligations hereunder and under the Origination Papers.

No consent of any Person (including without limitation any stockholder or creditor of Lender) and no consent, license, permit or approval or authorization or exemption by notice or report to, or registration, filing or declaration with, any Governmental Authority is required (other than those previously obtained) in connection with the execution or delivery of this Loan Origination Agreement by Lender, the validity of this Loan Origination Agreement with respect to Lender, the enforceability of this Loan Origination Agreement against Lender, the consummation by Lender of the transactions contemplated hereby, or the performance of Lender of its obligations hereunder, except insofar as the absence thereof would not result in a materially adverse impact on Lender, Servicer, or the Loans.

No consent of any person (including without limitation, any stockholder or creditor of the Bank) and no consent, license, permit or approval or authorization or exemption by notice or report to, or registration, filing or declaration with, any governmental authority is required (other than those previously obtained and delivered to NextCard) in connection with the execution or delivery of this Agreement by the Bank, the validity of this Agreement with respect to the Bank, the enforceability of this Agreement against the Bank, the consummation by the Bank of the transactions contemplated hereby, or the performance by the Bank of its obligations hereunder; provided, however, that the Bank makes no representation as to whether any consent from Visa is required.

At the date of this Agreement, no consent of any person (including without limitation any stockholder or creditor of Columbus Bank) and no consent, license, permit or approval or authorization or exemption by notice or report to, or registration, filing or declaration with, any governmental authority is required (other than those previously obtained and delivered to LLC II and other than the filing of financing statements in connection with the transfer of the Receivables) in connection with the execution or delivery of this Agreement or the Conveyance Papers by Columbus Bank, the validity of this Agreement or the Conveyance Papers with respect to Columbus Bank, the enforceability of this Agreement or the Conveyance Papers against Columbus Bank, the validity of the security interest granted by Columbus Bank hereunder, the consummation by Columbus Bank of the transactions contemplated hereby or by the Conveyance Papers, or the performance by Columbus Bank of its obligations hereunder and under the Conveyance Papers.
No Consent, Etc. No consent of any person or entity (including without limitation, Visa and any stockholder or creditor of NextCard) and no consent, license, permit or approval or authorization or exemption by notice or report to, or registration, filing or declaration with, any governmental authority is required in connection with the execution or delivery of this Agreement by NextCard, the validity or enforceability of this Agreement against NextCard, the consummation of the transactions contemplated thereby, or the performance by NextCard of its obligations hereunder.
No Consent, Etc. No consent of any person (including without limitation, any stockholder or creditor of Funding) and no consent, license, permit or approval or authorization or exemption by notice or report to, or registration, filing or declaration with, any governmental authority is required in connection with the execution or delivery of this Agreement by Funding, the validity or enforceability of this Agreement against Funding, the 22 consummation of the transactions contemplated thereby, or the performance by Funding of its obligations hereunder.

No consent of any person (including without limitation any stockholder or creditor of LLC) and no consent, license, permit or approval or authorization or exemption by notice or report to, or registration, filing or declaration with, any governmental authority is required (other than those previously obtained and delivered to Columbus Bank and other than the filing of financing statements in connection with the transfer of the Purchased Assets and a grant of a security interest in the Collateral) in connection with the execution or delivery of this Agreement or the Conveyance Papers by LLC, the validity or enforceability of this Agreement or the Conveyance Papers against LLC, the validity of the security interest granted by LLC hereunder, the consummation of the transactions contemplated hereby or by the Conveyance Papers, or the performance by LLC of its obligations hereunder and under the Conveyance Papers.

No consent of any Person (including without limitation any stockholder or creditor of Lender) and no consent, license, Permit or approval or authorization or exemption by notice or report to, or registration, filing or declaration with, any Governmental Authority is required (other than those previously obtained and delivered to Servicer and other than the filing of financing statements in connection with the transfer of the Loans) in connection with the execution or delivery of this Origination Agreement or the Origination Papers by Lender, the validity of this Origination Agreement or the Origination Papers with respect to Lender, the enforceability of this Origination Agreement or the Origination Papers against Lender, the consummation by Lender of the transactions contemplated hereby or by the Origination Papers, or the performance of Lender of its obligations hereunder and under the Origination Papers.
No Consent, Etc. Except for any filings specifically provided for herein or in the Credit Agreement, no order, consent, approval, license, authorization or validation of, or filing, recording or registration with, or exemption or waiver by, any Governmental Authority or any other third-party (except such as have been obtained or made and are in full force and effect) is required to authorize, or is required in connection to which it is a party with, (i) the execution, delivery and performance by Borrower of any Facility Document or (ii) the legality, validity, binding effect or enforceability of any Facility Document to which it is a party.
