No Co. Servicer shall resign except either (a) in the circumstances and subject to the requirements set out with respect to the Servicer in Clause 3.4.1; or (b) where the obligations of such Co-Servicer are wholly assumed from the time of such resignation by the Servicer or another Co-Servicer.
