No Breach of Duty. The Consultant represents and warrants to the Company that the performance by him of this Agreement will not breach any agreement or duty to keep in confidence proprietary information acquired by it in confidence or in trust prior to the Consultant's engagement hereunder or any duty not to compete with any party. The Consultant further agrees that it shall not enter into any agreement in conflict herewith during the Term.
