Network Use Fee Clause Samples

Network Use Fee. In addition to payment for Claims, Sponsor shall pay to EDH a fee equal to thirty-five percent (35%) of the aggregate sum of all Claims (the “Network Use Fee”). If Sponsor, in its sole discretion, determines that it would be in its best financial interest to convert the Network Use Fee to EDH’s fixed fee model (e.g., per employee per month) or hybrid fee model (e.g., percent of Claims, plus PEPM), Sponsor shall have the ability to convert to such fee structure upon thirty (30) days advance written notice to EDH; provided, the rate applicable to such alternative fee model (e.g., PEPM dollar amount and/or percentage amount) shall be the then-current equivalent of the Network Use Fee, as determined by EDH in its reasonable discretion. EDH shall invoice, and Sponsor shall pay, the Network Use Fee in accordance with Section 4.5.

If Sponsor, in its sole discretion, determines that it would be in its best financial interest to convert the Network Use Fee to EDH’s fixed fee model (e.g., per employee per month), then Sponsor shall have the ability to convert to such fee structure upon ninety (90) days advance written notice to EDH. If Sponsor elects to convert the Network Use Fee during the first twelve (12) months of the Initial Term, the Network Use Fee shall be Three Dollars ($3.00) per eligible Employee per month (the “Fixed Fee Model”) for the remainder of the first twelve (12) months of the Initial Term, and Four Dollars ($4.00 per) eligible Employee per month for the remainder of the Initial Term. If Sponsor elects to convert the Network Use Fee after the first twelve (12) months of the Initial Term, the Network Use Fee shall be Four Dollars ($4.00) per eligible Employee per month for the remainder of the Initial Term. EDH shall invoice, and Sponsor shall pay, the Network Use Fee in accordance with Section 4.5.
