Common use of Necessary Proceedings Clause in Contracts

Necessary Proceedings. All necessary and required corporate measures, proceedings and actions of the directors and shareholders of the Purchaser have been taken to authorize and enable the Purchaser to enter into and deliver this Agreement and to perform its obligations hereunder and thereunder and to issue each of the Purchaser Shares issuable in connection with the Acquisition.

Necessary Proceedings. All necessary and required corporate measures, proceedings and actions of the directors and shareholders of the Purchaser have been taken or will be taken to authorize and enable the Purchaser to enter into and deliver this Agreement and to perform its obligations hereunder and thereunder and to issue each of the Purchaser Shares issuable in connection with the Acquisitionhereunder.
