Necessary Proceedings. All proceedings, corporate or otherwise, to be taken by Buyer in connection with the consummation of the transactions contemplated by this Agreement shall have been duly and validly taken, and copies of all documents, resolutions and certificates incident thereto, duly certified by Buyer as of the Closing, shall have been delivered to the Warrantors.
Necessary Proceedings. All proceedings, corporate or otherwise, to be taken by AAAC a in connection with the consummation of the transactions contemplated by this Agreement shall have been duly and validly taken, and copies of all documents, resolutions and certificates incident thereto, duly certified by AAAC as of the Closing, shall have been delivered to TX China and the TX China Shareholders.
Necessary Proceedings. All proceedings, corporate or otherwise, to be taken by TX China and each TX China Shareholder in connection with the consummation of the transactions contemplated by this Agreement shall have been duly and validly taken, and copies of all documents, resolutions and certificates incident thereto, duly certified by TX China and each TX China Shareholder, as appropriate, as of the Closing, shall have been delivered to AAAC.
Necessary Proceedings. All necessary proceedings of the directors and shareholders of the Purchaser have been taken or will be taken to enable the Purchaser to enter into this Agreement and to perform its obligations hereunder.

All proceedings, corporate or otherwise, to be taken by TRG and Motoguzzi in connection with the consummation of the transactions contemplated by this Agreement shall have been duly and validly taken, and copies of all documents, resolutions and certificates incident thereto, duly certified by the officers of TRG and Motoguzzi as of the Closing, shall have been delivered to North.
Necessary Proceedings. All proceedings, corporate or otherwise, to be taken by the Purchaser in connection with the consummation of the transactions contemplated by this Agreement shall have been duly and validly taken, and copies of all documents, resolutions and certificates incident thereto, duly certified by the Purchaser as of the Closing, shall have been delivered to e-Channels and the Vendor.
Necessary Proceedings. All proceedings, corporate or otherwise, to be taken by each Warrantor in connection with the consummation of the transactions contemplated by this Agreement shall have been duly and validly taken, and copies of all documents, resolutions and certificates incident thereto, duly certified by each Warrantor, as appropriate, as of the Closing, shall have been delivered to SCAC.
Necessary Proceedings. (b) All necessary and required corporate measures, proceedings and actions of the directors and shareholders of Meridex have been taken or duly initiated to authorize and enable Meridex to enter into and deliver this Agreement and the Ancillary Agreements and to perform its obligations hereunder and thereunder and to issue the Meridex Shares issuable in connection with the Acquisition.
Necessary Proceedings. (b) All necessary or required corporate measures, proceedings and actions of the directors and shareholders of BSI have been taken to authorize and enable BSI to enter into and deliver this Agreement and the Ancillary Agreements to which BSI is a party and to perform its obligations hereunder and thereunder.
