Common use of Necessary Approval Clause in Contracts

Necessary Approval. Each corporation has obtained all necessary approvals from its officers, directors, and shareholders authorizing this merger, including complying with the requirements of NRS ss.78.453 and all other applicable laws. There is nothing in the articles or bylaws of either corporation, nor is there any other restriction which would prevent this merger.
