Typically, this clause applies to sensitive data, trade secrets, or proprietary knowledge shared during negotiations or collaboration, and may restrict parties from engaging in similar business activities or sharing information with competitors. Its core practical function is to protect the disclosing party’s interests by preventing misuse or unauthorized dissemination of valuable information, thereby reducing the risk of unfair competition or loss of business advantage.
