Common use of Nature of Purchase Clause in Contracts

Nature of Purchase. Each Purchaser severally represents as to itself (only) that it: (1) is an Accredited Investor, (2) is not acquiring the Notes to be purchased by it hereunder with a view to or for sale in connection with any distribution thereof within the meaning of the Securities Act, and (3) understands that the Notes have not been registered under the Securities Act and the Notes may not be offered or sold except pursuant to an effective registration statement under the Securities Act or pursuant to an applicable exemption from registration under the Securities Act. Notwithstanding the foregoing, the parties hereto understand that the disposition of each Purchaser’s property shall at all times be and remain within its control.
