Common use of Nature of Appointment Clause in Contracts

Nature of Appointment. The Agent shall have no fiduciary relationship with any Bank by reason of this Agreement and the Loan Documents. The Agent shall not have any duty or responsibility whatsoever to any Bank except those expressly set forth in this Agreement and the Loan Documents. Without limiting the generality of the foregoing, each Bank acknowledges that the Agent is acting as such solely as a convenience to the Banks and not as a manager of the commitments or the Obligations evidenced by the Revolving Credit Notes. This Section 0 does not confer any rights upon the Borrower or anyone else (except the Banks), whether as a third party beneficiary or otherwise.
