MYESP Default Clause Samples

MYESP Default. In the event of a material breach of this Agreement by MYESP, including, without limitation, the failure to make payments due hereunder pursuant to payment terms specified herein, LiveWorld shall provide written notice of such breach to MYESP within ten (10) days of the date LiveWorld becomes aware of the breach (the "MYESP Default Notice"). If such breach cannot be cured or has not been cured (a "MYESP Default") within twenty (20) days of the date of the MYESP Default Notice (the "MYESP Default Date"), this Agreement shall terminate as of the MYESP Default Date, or on such other later date as the parties may mutually agree in writing, pursuant to the terms and conditions set forth below in this Section 11.4.
