Common use of Mutual Representations Clause in Contracts

Mutual Representations. Each party represents to the other that (a) this Agreement has been duly executed and delivered and constitutes a valid and binding agreement enforceable against such party in accordance with its terms; (b) no authorization or approval from any third party is required in connection with such party’s execution, delivery, or performance of this Agreement; and (c) the execution, delivery, and performance of this Agreement does not violate the laws of any jurisdiction or the terms or conditions of any other agreement to which it is a party or by which it is otherwise bound.

Mutual Representations. Each party hereby represents and warrants to the other party that (a) the person executing this Agreement has been duly executed and delivered and constitutes a valid and binding agreement enforceable against such party in accordance with its termsis authorized to execute this Agreement; (b) no authorization or approval from any third this Agreement is legal and valid and the obligations binding upon such party is required in connection with such party’s execution, delivery, or performance of this Agreementare enforceable by their terms; and (c) the execution, delivery, delivery and performance of this Agreement does not conflict with any agreement, instrument or understanding, oral or written, to which such party may be bound, nor violate the laws any law or regulation of any court, governmental body or administrative or other agency having jurisdiction or the terms or conditions of any other agreement to which it is a party or by which it is otherwise boundover it.

Mutual Representations. Mutual Representations.
