Common use of MUTUAL COOPERATION; REASONABLE BEST EFFORTS Clause in Contracts

MUTUAL COOPERATION; REASONABLE BEST EFFORTS. The parties hereto shall cooperate with each other, and shall use their respective reasonable best efforts to cause as promptly as possible the fulfillment of the conditions to each other party's obligations hereunder and to obtain as promptly as possible all consents, authorizations, orders or approvals from each and every Person required in connection with the transactions contemplated by this Agreement. Each of the parties hereto shall take all such actions as may reasonably be requested by another party hereto in order to further the consummation of the transactions contemplated hereby and the acquisition of the control of the Company by Parent on the terms and subject to the conditions set forth herein and to permit such party to verify that the covenants of the other parties contained in this Agreement have been complied with.
