Common use of Mutual Confidentiality Obligations Clause in Contracts

Mutual Confidentiality Obligations. Each Party agrees as follows: (i) to use the Confidential Information only for the purposes described herein; (ii) that such Party will not reproduce the Confidential Information and will hold in confidence and protect the Confidential Information from dissemination to, and use by, any third party; (iii) that, except as required in performance of a Party’s obligations under this Agreement, neither Party will create any derivative work from Confidential Information disclosed to such Party by the other Party; (iv) to restrict access to the Confidential Information to such of its personnel, agents, and/or consultants, if any, who have a need to have access and who have been advised of and have agreed in writing or are otherwise bound to treat such information in accordance with the terms of this Agreement; and (v) to return or destroy all Confidential Information of the other Party in its possession upon termination or expiration of this Agreement.

Mutual Confidentiality Obligations. Each Party agrees as follows: (ia) to use Proprietary Information disclosed by the Confidential Information other Party only for the purposes described herein; (iib) that such Party will not reproduce Proprietary Information disclosed by the Confidential Information other Party, and will hold in confidence and protect the Confidential such Proprietary Information from dissemination to, and use by, any third party; (iiic) that, except as required in performance of a Party’s obligations under this Agreement, that neither Party will create any derivative work from Confidential Proprietary Information disclosed to such Party by the other Party; (ivd) to restrict access to the Confidential Proprietary Information disclosed by the other Party to such of its personnel, agents, and/or consultants, if any, who have a need to have access and who have been advised of and have agreed in writing or are otherwise bound to treat such information in accordance with the terms of this Agreement; and (ve) to return or destroy all Confidential Proprietary Information of disclosed by the other Party Party, at such other Party’s request, that is in its possession upon termination or expiration of this Agreement.

Mutual Confidentiality Obligations. The Parties acknowledge that during the performance of this Agreement, each Party will have access to certain of the other Party’s Confidential Information or Confidential Information of third parties that the Disclosing Party is required to maintain as confidential. Each Party agrees as followsthat the Receiving Party shall: (ia) to use the Confidential Information disclosed by or obtained from the other Party only for the purposes described herein; (iib) that such Party will not reproduce the Confidential Information and will use no less than reasonable efforts to hold in confidence and protect the such Confidential Information from dissemination to, and use by, any third party; (iiic) that, except as required in performance of a Party’s obligations under this Agreement, neither Party will create any derivative work from Confidential Information disclosed to such Party by the other Party; (iv) to restrict access to the such Confidential Information to such of its personnel, agents, and/or consultants, if any, who have a need to have access and who have been advised of and have agreed in writing or are otherwise bound to treat such information in accordance with the terms of this Agreementaccess; and (vd) return to return the Disclosing Party or destroy all such Confidential Information of the other Party that is in its and its employees’, agents’, consultants’, subcontractors’ and/or representatives’ possession upon termination or expiration of this Agreement.

Each Subject to the Freedom of Information Act, 5 U.S.C. § 552, each Party agrees as follows: (ia) to use the Confidential Information only for the purposes described herein; (iib) that such Party will not reproduce the Confidential Information and will hold in confidence and protect the Confidential Information from dissemination to, and use by, any third party; (iiic) that, except as required in performance of a Party’s obligations under this Agreement, that neither Party will create any derivative work from Confidential Information disclosed to such Party by the other Party; (ivd) to restrict access to the Confidential Information to such of its personnel, agents, and/or consultants, if any, who have a need to have access and who have been advised of and have agreed in writing or are otherwise bound to treat such information in accordance with the terms of this Agreement; and (ve) to return or destroy destroy, pursuant to Section 7.4, all Confidential Information of the other Party in its possession upon termination or expiration of this Agreement.

Each Subject to the provisions of the Freedom of Information Act, 5 U.S.C. § 552, and the Trade Secrets Act, 18 U.S.C. 1905, each Party agrees as follows: (i) to use the Confidential Information only for the purposes described herein; (ii) that such Party will not reproduce the Confidential Information and will hold in confidence and protect the Confidential Information from dissemination to, and use by, any third party; (iii) that, except as required in performance of a Party’s obligations under this Agreement, that neither Party will create any derivative work from Confidential Information disclosed to such Party by the other Party; (iv) to restrict access to the Confidential Information to such of its personnel, agents, and/or consultants, if any, who have a need to have access and who have been advised of and have agreed in writing or are otherwise bound to treat such information in accordance with the terms of this Agreement; and (v) to return or destroy all Confidential Information of the other Party in its possession upon termination or expiration of this Agreement.
