MP Junior Clause Samples

MP Junior. MP Junior is a duly organized, validly existing limited liability company in good standing under the laws of the State of Delaware and, if required by California law, is authorized to transact business in the State of California. Maguire Properties, L.P., a Maryland limited partnership ("MAGUIRE LP") ▇▇ ▇he sole member of MP Junior. MP Junior, acting alone ▇▇▇▇▇▇▇ ▇he joinder of any other member or manager of MP Junior or any other party, has the power and authority to execute this Agreement on behalf of and to duly bind MP Junior under this Agreement and the Loan Documents. The execution and delivery of, and performance under, this Agreement and the Loan Documents by MP Junior, has been duly and properly authorized pursuant to all requisite company action and will not (i) violate any provision of any law, rule, regulation, order, writ, judgment, injunction, decree, determination or award presently in effect having applicability to MP Junior or the certificate of formation or the operating agreement of MP Junior or any other organizational document of MP Junior, or (ii) result in a breach of or constitute or cause a default under any indenture, agreement, lease or instrument to which MP Junior is a party or by which the Project or the Collateral may be bound or affected.
