Common use of Monitoring of Eligible Foreign Custodians and Contracts Clause in Contracts

Monitoring of Eligible Foreign Custodians and Contracts. In each case in which Delegate has exercised the authority delegated under this Consolidated Agreement to place Foreign Assets with an Eligible Foreign Custodian, Delegate is authorized to, and shall, on behalf of each Fund, establish a system to Monitor the appropriateness of maintaining Foreign Assets with such Eligible Foreign Custodian. In each case in which Delegate has exercised the authority delegated under this Consolidated Agreement to enter into a written contract governing each Fund’s foreign custody arrangements, Delegate is authorized to, and shall, on behalf of each Fund, establish a system to Monitor the performance of such contract, and shall promptly notify each Fund or its investment adviser if an Eligible Foreign Custodian no longer meets the requirements of Rule 17f-5.

In the event Delegate determines that the custody arrangement with an Eligible Foreign Custodian are no longer meets appropriate, Delegate shall notify the requirements Fund and the investment adviser of Rule 17f-5Fund.
