Monetization Models. a. Partner agrees that each Partner Course (or bundled offering including a Partner Course), other than Registered Student Courses, may participate in Coursera’s Certificate Service (or any successor service thereto). In consideration for the license to use the Partner Course Content pursuant to Section 3.1(a), Partner will receive twenty five precent (25%) of Net Sales Revenue received for each Learner that opts into and pays for the Certificate Service for a Partner Course (“License Fee”). In compensation for the Partner’s ongoing provision of the Partner Services set forth in Article 4, Partner will receive twenty five precent (25%) of Net Sales Revenue received for each Learner that opts into and pays for the Certificate Service for a Partner Course (“Partner Services Fee”). “Net Sales Revenue” means Certificate Service sales receipts attributable to a Partner Course that are past the refund period, less any taxes, distribution costs (e.g., costs associated with online advertising and with Apple iTunes and other third party marketplaces) payable to third parties, and Platform support costs in excess of the norm (e.g., costs associated with scaling Jupyter Notebooks server support).
