Common use of Modifications or Amendments for Compliance Purposes Clause in Contracts

Modifications or Amendments for Compliance Purposes. The parties agree that this Agreement shall be modified or amended as may be reasonably deemed necessary by Customer in order to bring this Agreement into compliance with all presently applicable laws, regulations, procedures or rulings (and with any such laws, regulations, procedures or rulings or changes therein which may in the future become applicable), pertaining to or affecting Customer’s existing or future tax- exempt financing or tax-exempt status. Customer shall give written notice of the need to so modify or amend this Agreement as soon as reasonably possible upon finally making its determination thereof. Should Vendor not have executed the amendment and modification of this Agreement within thirty (30) days after Customer’s written notice to Vendor, Customer may recover from Vendor any payment that is determined by a court or government agency to be illegal or inconsistent with Customer’s tax exempt status.
