Modification; Derivative Works. The TCEQ shall have the right, in its own discretion, to independently modify any Intellectual Property to which license is granted herein for The TCEQ’s own purposes and use, through the services of its own employees or independent contractors. The TCEQ and the PERFORMING PARTY shall jointly own all Intellectual Property Rights to such modifications. The PERFORMING PARTY shall not be responsible for or liable for any modifications by the TCEQ or the TCEQ’s employees or independent contractors of Intellectual Property licensed to the TCEQ by the PERFORMING PARTY.
Modification; Derivative Works a conditional exclusive non-transferable (except as provided in Section 16.1 (Assignment)), worldwide license to modify the source code to the Licensed Technology, and to create Derivative Works; provided that any warranty against infringement, indemnity obligation, or maintenance or support obligation given by GEOWORKS under the provisions of this Agreement shall not apply to modifications or Derivative Works made by or for MYTURN, or to portions of the Licensed Technology affected by such modifications or Derivative Works. For purposes of this Modification license, GEOWORKS grants to MYTURN a non-exclusive, non-transferable (except as provided in Section 16.1 (Assignment)) conditional internal license to use the software development tools and documentation included in the Licensed Technology.
