Mitigations Clause Samples
Mitigations. (a) Each of the Parties agrees to take all commercially reasonable steps to mitigate their respective Losses upon and after becoming aware of any event or condition which would reasonably be expected to give rise to any Losses that are indemnifiable hereunder.
(b) Upon making any payment to the Indemnified Party for any indemnification claim pursuant to this Article 6, the Indemnifying Party shall be subrogated, to the extent of such payment, to any rights which the Indemnified Party may have against any third parties with respect to the subject matter underlying such indemnification claim and the Indemnified Party shall assign any such rights to the Indemnifying Party.
Mitigations. The Partners will agree a protocol for agreeing amendments to the budget setting model in subsequent years. This will include consideration of: Treatment of prior year overspends Treatment of efficiency savings delivered from previous years
Mitigations. To meet requirements laid out in the 2024 permits for work in the creek, a boom was intalled to catch ▇▇▇▇▇▇'s feather fragments floating downstream between work events. Accumulation of the parrot's feather at the boom was only observed during the early stages of the project in June and when the Creek began noticeably flowing in October. Staff did note an accumulation of common duckweed (Lemna minor) at the boom which suggests that when the Creek was flowing the boom was effective at stopping material from being carried downstream from the project area. Precautions were taken to ensure that the parrot's feather was not accidentally carried offsite to potentially contaminate other waterbodies when the equipment was removed from the project area. This involved visually inspecting, washing, and disinfecting any equipment that had to be taken off-site during the project. At the end of the project, all equipment was thoroughly washed and inspected before being removed from the site. Additional precautions included draining and drying both boats before their use in other waterbodies, signage on the site of the project, and staff and volunteer education on limiting potential contamination.
Mitigations. Owner agrees to contribute to the costs of public facilities and services in the amounts set forth in the Plan Documents, Mitigation Monitoring and Reporting Program and Conditions of Approval, as required to mitigate impacts of the development, occupancy and use of the Property (“Mitigations”). City and Owner recognize and agree that but for Owner’s contributions to mitigate the impacts arising as a result of the entitlements granted pursuant to this Agreement, City would not and could not approve the development of the Property as provided by this Agreement. City’s approval of development of the Property is in reliance upon, and in consideration of, Owner’s agreement to make contributions toward the cost of public improvements and public services as provided to mitigate the impacts of development of the Property pursuant to this Agreement.
Mitigations i. Insurance companies (primarily), providers, and government officials should work to understand potential opportunities for medical malpractice and design the correct guidance in collaboration with physicians, providers, and legal entities like policymakers
ii. Hospitals/physicians/all providers who provide telemedicine services should work with their informatics/IT teams to ensure the proper network and security systems are in place to protect patient information and negate any potential data breaches.
iii. Legal policies, standards, guidelines at the local, state, and federal level for telemedicine practice and data management should be developed to ensure physicians can safely give medical advice to patients.
Mitigations. The following mitigation is required to reduce the threat of disturbance to wildlife during implementation of this project: • Maintain a limited operating period (LOP), prohibiting activities from March 1 through June 30. This LOP is intended primarily to protect ▇▇▇▇▇▇ during the ▇▇▇▇▇▇▇ season, but would protect other wildlife species from disturbance during their ▇▇▇▇▇▇▇/nesting season as well.
