Common use of Mitigation Clause in Contracts

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtain.

Mitigation. Executive shall not be required to mitigate damages or the amount of any payment or benefit provided for in under this Agreement by seeking other employment or otherwise and there otherwise, nor shall be no offset against amounts due Executive the amount of any payment provided for under this Agreement on account be reduced by any compensation earned by Executive as a result of employment by another employer or by any remuneration attributable to any subsequent employment that retirement benefits received by Executive may obtainafter the date of the Covered Termination, or otherwise.

Mitigation. Except as otherwise specifically provided herein, Executive shall not be required to mitigate damages or the amount of any payment or benefit provided for in under this Agreement by seeking other employment or otherwise and there otherwise, nor shall be no offset against amounts due Executive the amount of any payment provided for under this Agreement on account be reduced by any compensation earned by Executive as a result of employment by another employer or by any remuneration attributable to any subsequent employment that retirement benefits received by Executive may obtainafter the date of the Covered Termination.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise otherwise, and there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtain.

Mitigation. Executive shall will not be required to mitigate the amount of any payment or benefit provided for in amounts payable under this Agreement by seeking other employment or otherwise otherwise, and there shall will be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainexcept as specifically provided herein.

Mitigation. The Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there no such payment shall be no offset against amounts due Executive under this Agreement on account or reduced by the amount of any remuneration attributable compensation or benefits provided to the Executive in any subsequent employment that Executive may obtainemployment.

Mitigation. The Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there otherwise. None of the Company or any of its affiliates shall be no offset entitled to set off against the amounts due payable to the Executive under this Agreement on account any amounts owed to the Company or any of its affiliates by the Executive, any remuneration attributable to amounts earned by the Executive in other employment after his Termination Date, or any subsequent amounts which might have been earned by the Executive in other employment that Executive may obtainhad he sought such other employment.

Mitigation. Executive shall not be required to mitigate damages or the amount of any payment or benefit provided for in under this Agreement by seeking other employment or otherwise, and compensation earned from such employment or otherwise and there shall be no offset against not reduce the amounts due Executive otherwise payable under this Agreement. No amounts payable under this Agreement on account shall be subject to reduction or offset in respect of any remuneration attributable to claims which the Company (or any subsequent employment that Executive other person or entity) may obtainhave against Executive.

Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there otherwise, nor shall be no offset against amounts due Executive under the amount of any payment provided for in this Agreement on account be reduced by any compensation earned by Executive as the result of any remuneration attributable to any subsequent employment that Executive may obtainby another employer after the date of termination of Executive’s employment with Employer, or otherwise.

Executive shall will not be required to mitigate the amount of any payment or benefit payments provided for in under this Agreement by seeking other employment or otherwise and there otherwise, nor shall be no offset against amounts due Executive the amount of payments provided for under this Agreement on account be reduced by any compensation earned by Executive as the result of employment by another employer, by retirement benefits, by offset against any remuneration attributable amount claimed to any subsequent employment that be owed by Executive may obtainto the Company, or otherwise.

The Executive shall not be required to mitigate damages or the amount of any payment or benefit provided for in under this Agreement by seeking or accepting other employment or otherwise, and compensation earned from such employment or otherwise and there shall be no offset against not reduce the amounts due Executive otherwise payable under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainAgreement.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in amounts payable under this Agreement by seeking other employment or otherwise otherwise, and there shall be no offset against amounts due Executive under this Agreement on account of subsequent employment. Additionally, amounts owed to Executive under this Agreement shall not be offset by any remuneration attributable claims the Company may have against Executive, and the Company's obligation to make the payments provided for in this Agreement and otherwise to perform its obligations hereunder shall not be affected by any subsequent employment that other circumstances, including, without limitation, any counterclaim, recoupment, defense or other right which the Company may have against Executive may obtainor others.

Mitigation. The Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there otherwise, nor shall be no offset against amounts due any profits, income or earnings or other benefits from any source whatsoever create any mitigation, offset, reduction or any other obligation on the part of Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainhereunder.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in this under the Agreement by seeking other employment or otherwise and there shall be no offset against amounts due Executive under this Agreement on account of in any remuneration attributable to any subsequent employment that Executive may obtainother manner.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in amounts payable under this Agreement by seeking other employment or otherwise otherwise, and there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainexcept as specifically provided herein.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in amounts payable under this Agreement by seeking other employment or otherwise otherwise, and there shall be no offset against amounts due Executive under this Agreement on account of subsequent employment. Amounts owed to Executive under this Agreement shall not be offset by any remuneration attributable to claims the Company may have against Executive and such payment shall not be affected by any subsequent employment that other circumstances, including, without limitation, any counterclaim, recoupment, defense, or other right which the Company may have against Executive may obtainor others.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement herein by seeking other employment or otherwise and there shall not be no offset entitled to set-off against amounts due Executive under this Agreement on account the amount of any remuneration attributable payments made pursuant hereto with respect to any subsequent employment that compensation earned by Executive may obtainarising from other employment.

Mitigation. The Executive shall will not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there shall no such payment will be no offset against amounts due Executive under this Agreement on account or reduced by the amount of any remuneration attributable compensation or benefits provided to the Executive in any subsequent employment that Executive may obtainother than as provided under Section 7(b)(ii)(C).

Mitigation. Except as expressly provided for in this Agreement, the Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there shall the payments to be no offset against amounts due made to the Executive under this Agreement on account Sections 9 or 10 shall not be offset reduced in any respect in the event that the Executive shall not pursue alternative employment following the termination of the Executive’s employment with the Company or by the amount of any remuneration attributable compensation or other benefits provided to the Executive in any subsequent employment that Executive may obtainemployment.

Mitigation. The Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement either by seeking other employment or otherwise and there shall be no offset against amounts due Executive under this Agreement on account otherwise. The amount of any payment provided for herein shall not be reduced by any remuneration attributable to any subsequent employment that the Executive may obtainearn from employment with another employer or otherwise following his Termination Date.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in amounts payable under this Agreement by seeking other employment or otherwise otherwise, and there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that except as specifically provided herein. Additionally, amounts owed to Executive under this Agreement shall not be offset by any claims the Company may obtain.have against the Executive

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in under this Agreement by seeking other employment or otherwise and there nor will any payments provided for herein be subject to offset in respect of any claims which the Company may have against Executive and, except as specifically provided herein, the amount of any payment or benefit provided for in this Agreement shall not be no reduced by any compensation earned or benefits received by Executive as the result of employment by a future employer, by offset against amounts due Executive under this Agreement on account of any remuneration attributable amount claimed to any subsequent employment that Executive may obtainbe owed by him to the Company, or otherwise.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in pursuant to this Agreement by seeking other employment or otherwise and shall not be required to mitigate the amount of any such payment if he does obtain other employment, and there shall be no offset against amounts due Executive under this Agreement on account mitigation by the Company of any remuneration attributable to any subsequent employment that Executive may obtainsuch payment if he does obtain other employment.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainotherwise.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in amounts payable under this Agreement by seeking other employment or otherwise, and, except as otherwise provided in Section 10, 11 and 14 of this Agreement, there shall be no offset against amounts or benefits due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainand/or eligibility for benefits.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there nor shall the amount of any payment or benefit provided for in this Agreement be no reduced as the result of employment by another employer or self-employment or offset against amounts due any amount claimed to be owed by Executive under this Agreement on account of to the Company or otherwise, except that Executive shall waive, in a manner acceptable to the Company in its reasonable judgment, all rights to receive any remuneration attributable severance payments or benefits that Executive is entitled to receive pursuant to any subsequent employment that Executive may obtainother Company severance plan or program.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in pursuant to this Agreement by seeking other employment, and shall not be required to mitigate the amount of any such payment if he does obtain other employment or otherwise and there shall be no offset against amounts due Executive under this Agreement on account mitigation by the Company of any remuneration attributable to any subsequent employment that Executive may obtainsuch payment if he does obtain other employment.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement its Agreement, whether by seeking other employment or otherwise and there otherwise, nor shall be no offset against amounts due Executive under this Agreement on account the amount of any remuneration attributable to payment provided for herein be reduced by any subsequent compensation earned or received by Executive as a result of his employment that Executive may obtainby another employer following his termination hereunder.

Mitigation. The Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there otherwise, nor shall be no offset against amounts due Executive under the amount of any payment provided for in this Agreement on account be reduced by any compensation earned by the Executive as a result of any remuneration attributable to any subsequent employment that Executive may obtainby another employer after the date of Termination, or otherwise.

Mitigation. The Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement either by seeking other employment or otherwise and there shall be no offset against amounts due Executive under this Agreement on account otherwise. The amount of any payment provided for herein shall not be reduced by any remuneration attributable to any subsequent employment that the Executive may obtainearn from employment with another employer or otherwise following his Qualifying Termination.

Mitigation. Executive shall not be required to mitigate damages or the amount of any payment or benefit provided for in under this Agreement by seeking other employment or otherwise and there otherwise, nor shall be no offset against amounts due Executive the amount of any payment provided for under this Agreement on account be reduced by any compensation earned by Executive as a result of any remuneration attributable to any subsequent employment that Executive may obtainby another employer or otherwise.

Mitigation. Mitigation. The Executive shall not be obligated to seek other employment in mitigation of the amounts payable or arrangements made under any provision of this Agreement, and the obtaining of any such other employment shall in no event effect any reduction of the Bank's obligation to make the payments and arrangements required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there shall be no offset against amounts due Executive made under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainAgreement.

Mitigation. The Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainotherwise.

Mitigation. The Executive shall not be required to mitigate the amount of any payment or benefit provided for in pursuant to this Agreement by seeking other employment or otherwise employment, and there shall be no offset against amounts any amount or benefit due to the Executive under this Agreement Agreement, or otherwise, on account of any remuneration attributable to any subsequent or other benefit earned or received by the Executive after termination of his employment that Executive may obtainhereunder.

Mitigation. The Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there shall be no offset against amounts due the Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtain.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there otherwise, nor shall be no offset against amounts due Executive under this Agreement on account the amount of any remuneration attributable to payment or benefit provided for herein be reduced by any subsequent compensation or any retirement benefit heretofore or hereafter earned by Executive as the result of employment that Executive may obtainby any other person, firm or corporation.

Mitigation. Executive shall not be required to mitigate the amount of any payment payment, benefit or benefit entitlement provided for in pursuant to this Agreement or otherwise by seeking other employment or otherwise employment, and shall not be required to mitigate the amount of there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainsuch payment, benefit or entitlement if he does obtain other employment.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in amounts ---------- payable under this Agreement by seeking other employment or otherwise otherwise, and there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainexcept as specifically provided herein.

Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive he may obtain.

Mitigation. The Executive shall not be required to mitigate the amount of any payment or benefit benefits provided for in this Agreement by seeking other employment or otherwise and there otherwise. Further, the amount of any payment or benefits provided for in this Agreement shall not be no reduced by any compensation earned by the Executive as a result of employment by another employer, by retirement benefits, by offset against amounts due any amount claimed to be owed by the Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainthe Company or otherwise.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in pursuant to this Agreement by seeking other employment or otherwise employment, and there shall not be no offset against amounts due Executive under this Agreement on account required to mitigate the amount of any remuneration attributable to any subsequent employment that Executive may obtainsuch payment if he does obtain other employment.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in pursuant to this Agreement by seeking other employment or otherwise and there shall be no offset against amounts due Executive under employment, taking into account the provisions of Section 9 of this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainAgreement.

The Executive shall is not be required to seek other employment or otherwise mitigate the amount of any payment or benefit provided for in payments to be made by the Company pursuant to this Agreement Agreement, and employment by seeking other employment the Executive will not reduce or otherwise and there shall be no offset against affect any amounts or benefits due the Executive under pursuant to this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainAgreement.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in pursuant to this Agreement by seeking other employment or otherwise and there shall be no offset against amounts due Executive under the amount of any payment provided for pursuant to this Agreement on account shall not be reduced by any compensation earned as a result of any remuneration attributable to any subsequent Executive’s other employment that Executive may obtainor otherwise.

Mitigation. The Executive shall not be required to mitigate the amount of any payment or benefit provided for in amounts payable pursuant to this Agreement by seeking other employment or otherwise and there otherwise, nor shall such payments be no offset against amounts due Executive under this Agreement reduced on account of any remuneration earned by the Executive attributable to employment by another employer, by retirement benefits, by offset against any subsequent employment that amount claimed to be owed by the Executive may obtainto the Company, or otherwise.

Mitigation. The Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise otherwise, and there shall be no offset against amounts due Executive under the amount of any payment or benefit provided for in this Agreement on account shall not be reduced by any compensation earned by the Executive as a result of any remuneration attributable to any subsequent employment that Executive may obtainby another employee or by retirement benefits except as provided in Sections 2(b) and 2(c) hereof.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in amounts payable under this Agreement by seeking other employment or otherwise otherwise, and there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that except as specifically provided herein. Additionally, subject to Section 5(g), amounts due to Executive under this Agreement shall not be offset by any claims the Company may obtainhave against Executive.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtain. 9.

The Executive shall will not be required obligated to mitigate the amount of any payment or benefit provided for in this Agreement by seeking seek other employment or otherwise and there shall be no offset against in mitigation of the amounts due Executive payable under this Agreement on account Agreement, and obtaining other employment will in no event effect any reduction of any remuneration attributable the Company’s obligations to any subsequent employment that Executive may obtainmake the severance benefit payment required under this Agreement.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in amounts payable under this Agreement by seeking other employment or otherwise and otherwise, and, notwithstanding Section 8 hereof, there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainexcept as specifically provided herein.

Mitigation. The Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there otherwise, nor shall be no offset against amounts due any profits, income or earnings or other benefits from any source whatsoever create any mitigation, offset, reduction or any other obligation on the part of the Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainhereunder.

Mitigation. Executive shall will not be required to mitigate the amount of any payment or benefit provided for in amounts payable under this Agreement by seeking other employment or otherwise otherwise, and there shall will be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtain.except as specifically provided herein. Executive shall not be required to mitigate the amount of any payment or other benefit provided for in required to be paid to Executive pursuant to this Agreement Agreement, whether by seeking other employment or otherwise and there otherwise, nor shall the amount of any such payment or other benefit be no offset against amounts due Executive under this Agreement reduced on account of any remuneration attributable to any subsequent compensation earned by Executive as a result of employment that Executive may obtainby another Person.

Mitigation. The Executive shall will not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking seek other employment or otherwise and there shall be no offset against amounts due Executive under this Agreement on account mitigate the value of any remuneration attributable to severance benefits or payments contemplated by this Agreement, nor will any subsequent employment benefits or payments be reduced by any earnings or benefits that the Executive may obtainreceive from any other source. Amounts payable hereunder will not be subject to set-off, counterclaim, recoupment, defense or other right which the Company may have against the Executive or others.

Mitigation. Executive shall not be required obligated to mitigate the amount of any payment or benefit provided for in this Agreement by seeking seek other employment or otherwise and there shall be no offset against in mitigation of the amounts due Executive payable under any provision of this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainAgreement.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in under this Agreement by seeking other employment or otherwise and there the amount of any payment or benefit provided for in this Agreement shall not be no reduced by any compensation earned or benefits received by Executive as the result of employment by a future employer, by offset against any amount claimed to be owed by him to the Company (except amounts due Executive under this Agreement on account of any remuneration attributable owed to the Company pursuant to any subsequent employment loan or other advance that Executive may obtainis then due), or otherwise.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise otherwise, and except as other specifically provided herein, there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtain.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in amounts payable under this Agreement by seeking other employment or otherwise otherwise, and there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable subsequent employment. Additionally, amounts owed to any subsequent employment that Executive may obtain.under this

Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment mployment or otherwise and there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtain.

Mitigation. The Executive shall is not be required to seek other employment or otherwise mitigate the amount of any payment or benefit provided for in payments to be made by the Company pursuant to this Agreement Agreement, and employment by seeking other employment the Executive will not reduce or otherwise and there shall be no offset against affect any amounts or benefits due the Executive under pursuant to this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainAgreement, except as otherwise provided in Section 10(c).

Mitigation. Executive shall not be required to mitigate damages or the amount of any payment or benefit provided for in under this Agreement by seeking or accepting other employment or otherwise, and compensation earned from such employment or otherwise and there shall be no offset against not reduce the amounts due Executive otherwise payable under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainAgreement.

Mitigation. The Executive shall not be required to mitigate the amount of any payment or benefit benefits provided for in by this Agreement by seeking other employment or otherwise and there otherwise. Further the amount of any payment or benefits provided for in this Agreement shall not be no reduced by any compensation earned by the Executive as a result of employment by another employer, by retirement benefits or other compensation, by offset against amounts due any amount claimed to be owed by the Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainthe Company or otherwise.

Mitigation. The Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there no such payment shall be no offset against amounts due Executive under this Agreement on account or reduced by the amount of any remuneration attributable compensation or benefits provided to the Executive in any subsequent employment that Executive may obtain.employment. ​

Executive shall not be required to mitigate the amount of any payment or benefit provided for in amounts payable under this Agreement by seeking other employment or otherwise, and, except as otherwise and provided in Section 13 of this Agreement, there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainemployment.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in under this Agreement by seeking other employment or otherwise otherwise, and there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtain.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there otherwise, nor shall the amount of any payment or benefit provided for in this Agreement be no reduced by any compensation or benefit earned by Executive as a result of employment by another employer, self-employment earnings, by retirement benefits, by offset against amounts due any amount claimed to be owing by Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainthe Company, or otherwise.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in amounts payable under this Agreement by seeking other employment or otherwise otherwise, and there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainemployment.

Mitigation. The Executive shall will not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there shall no such payment will be no offset against amounts due Executive under this Agreement on account or reduced by the amount of any remuneration attributable compensation or benefits provided to the Executive in any subsequent employment that Executive may obtainother than as provided under Section 7(b)(ii)(D).

Mitigation. Executive shall not be obligated to seek other employment in mitigation of the amounts payable or arrangements made under any provision of this Agreement, and the obtaining of any such other employment shall in no event effect any reduction of the Company’s obligation to make the payments and arrangements required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there shall be no offset against amounts due Executive made under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainAgreement.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there otherwise, nor shall any reduction be no offset against amounts due Executive under this Agreement on account of made for any remuneration attributable to any subsequent employment other compensation that Executive may obtainearns from a subsequent employer (including self-employment).

Mitigation. The Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement agreement by seeking other employment or otherwise and there no such payment shall be no offset against amounts due Executive under this Agreement on account or reduced by the amount of any remuneration attributable compensation or benefits provided to the Executive in any subsequent employment that Executive may obtainor otherwise.

Mitigation. The Executive shall not be required to mitigate the amount of any payment or benefit provided for in amounts payable pursuant to this Agreement by seeking other employment or otherwise otherwise, and there no payments or benefits shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable subject to any subsequent employment that Executive may obtainmitigation.

Mitigation. Except as otherwise specifically provided herein, Executive shall not be required to mitigate the amount of any payment or benefit provided for in under this Agreement by seeking other employment or otherwise and there self-employment, nor shall be no offset against amounts due Executive the amount of any payment provided for under this Agreement on account be reduced by any compensation earned by Executive as a result of any remuneration attributable to any subsequent employment that Executive may obtain.by

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in under this Agreement by seeking other employment or otherwise and there nor will any payments provided for herein be subject to offset in respect of any claims which the Company may have against Executive and, except as specifically provided herein, the amount of any payment or benefit provided for in this Agreement shall not be no reduced by any compensation earned or benefits received by Executive as the result of employment by another employer, by offset against amounts due Executive under this Agreement on account of any remuneration attributable amount claimed to any subsequent employment that Executive may obtainbe owed by him to the Company, or otherwise.

Mitigation. The Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise otherwise, and there no such payment shall be no offset against amounts due Executive under this Agreement on account or reduced by the amount of any remuneration attributable compensation or benefits provided to the Executive in any subsequent employment that Executive may obtainemployment. 5.

The Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement agreement by seeking other employment or otherwise and there no such payment shall be no offset against amounts due Executive under this Agreement on account or reduced by the amount of any remuneration attributable compensation or benefits provided to the Executive in any subsequent employment that Executive may obtainemployment.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there otherwise. Employer shall not be no offset entitled to set off against the amounts due payable to Executive under this Agreement on account any amounts earned by Executive in other employment after termination of his employment with Employer, or any remuneration attributable to any subsequent amounts which might have been earned by Executive in other employment that Executive may obtainhad he sought such other employment.

Mitigation. Executive shall not be required to mitigate the amount of any payment or benefit provided for in amounts payable under this Agreement by seeking other employment or otherwise and otherwise, and, not withstanding Section 8 hereof, there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtainexcept as specifically provided herein.
