Common use of Misstatements or Omissions Clause in Contracts

Misstatements or Omissions. No representation or warranty made by the Buyer in this Agreement, and no statement contained in any certificate or Schedule furnished or to be furnished by the Buyer to the Sellers and/or the Shareholders pursuant hereto, contains or will contain an untrue statement of a material fact or omits or will omit to state a material fact necessary in order to make such representation or warranty or such statement not misleading.

Misstatements or Omissions. No representation representations or warranty made warranties by the Buyer in this Agreement, and no statement contained or in any certificate document, exhibit, statement, certificate, document or Schedule schedule furnished to Sellers pursuant to this Agreement, or to be furnished in connection with the transaction contemplated by the Buyer to the Sellers and/or the Shareholders pursuant heretothis Agreement, contains or will contain an any untrue statement of a material fact fact, or intentionally omits or will omit to state a any material fact necessary in order to make such representation the statements or warranty or such statement facts contained therein not misleading.
